Job Title: Commercial Counsel
Job Responsibilities:
The Commercial Counsel at the company is responsible for providing guidance on a wide range of commercial legal issues. This includes drafting and negotiating various agreements such as Order Forms, Master Service Agreements (MSAs), Data Privacy Agreements (DPAs), and Non-Disclosure Agreements (NDAs). The role involves responding to compliance-related requests from internal parties, clients, and other external stakeholders. The Commercial Counsel acts as a trusted advisor to key stakeholders, utilizing skills in contract negotiation, critical thinking, and problem-solving. Key responsibilities include:
- Independently reviewing, drafting, and negotiating customer SaaS agreements, including MSAs, Order Forms, DPAs, and NDAs, while identifying and managing risk for the company.
- Maintaining and improving existing sales contracting processes and working on other legal and compliance projects.
- Collaborating with Sales, Finance, Deal Desk, Information Security, Product, and other teams to negotiate contracts and work on cross-functional projects.
- Ensuring compliance with the company's policies and applicable laws.
- Keeping up to date with developments in relevant practice areas, including data privacy, commercial law, and other applicable regulations.
Education and Experience Information:
- A Juris Doctor (JD) degree from an accredited law school with admission to a state bar is required.
- A minimum of 3 years of legal experience, with a focus on drafting and negotiating SaaS, software licensing, and other technology-related contracts, including MSAs, Statements of Work (SOWs), and NDAs.
- A solid understanding of commercial contract terms such as intellectual property rights, indemnification, and limitations of liability, with the ability to translate that understanding into redlines and articulate it in negotiations.
- Basic knowledge of data privacy laws such as the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA); experience in negotiating Data Privacy Agreements is a plus.
- Excellent negotiating, legal drafting, and communication skills.

- Ability to meet deadlines and maintain composure in a fast-paced environment.
Salary Information:
The base pay range for the Commercial Counsel position is $140,000 to $165,000 per year. This may include additional on-target commission pay or bonuses. The base pay offered may vary depending on job-related knowledge, skills, and experience. Stock options and other incentive pay may be provided as part of the compensation package, along with a full range of medical, financial, and/or other benefits, depending on the position ultimately offered.
