Job Title: Associate Commercial Counsel
Job Responsibilities:
- Independently review, draft, revise, interpret, and negotiate a broad range of agreements with sales-assisted customers daily. These agreements encompass SaaS and other technology licensing agreements, reseller and referral partnership agreements, RFIs and RFPs, OEM agreements, consulting agreements, statements of work, and nondisclosure agreements.
- Collaborate with various departments such as Sales, Finance, Deal Desk, Security, and the Executive Leadership Team to ensure contracts are negotiated and executed in compliance with contracting policies and applicable law.
- Respond promptly to approval requests from business teams and escalate issues where appropriate.
- Educate stakeholders on policies, procedures, and negotiation playbook, and communicate issues concerning contract risks and agreement structure.
- Maintain and improve contracting policies, procedures, and negotiation playbook.
- Assist in the management and maintenance of standard terms, templates, and processes with the goal of minimizing friction with customers and mitigating risk for the business.
Education and Experience Information:
- A minimum of 3 years of experience drafting and negotiating agreements in a global SaaS enterprise environment.
- Solid understanding of commercial contract terms such as intellectual property rights, indemnification, and limitations of liability, and the ability to translate that understanding into redlines and articulate in negotiations.
- Ability to identify legal risks within contracts and present summaries in a clear and compelling manner.
- Strong written and verbal communication skills.
- Strong organizational skills, extreme attention to detail, and good judgment.
- Ability to work in a self-directed manner as well as in a team setting and manage multiple tasks at a time.
- Ability to work efficiently and effectively in a remote environment.
- Global privacy experience is preferred but not required.
- Knowledge of Salesforce or other enterprise quoting tools is preferred but not required.
- Experience with the Federal Acquisition Regulations (FAR) for federal contracts is a plus.
Salary Information:
- Base Salary Range for NYC Metro, Bay Area, Seattle, & Los Angeles: $143,000 - $197,000
- Base Salary Range for all other US cities outside the above metro areas: $128,700 - $177,300
