Job Title: Corporate Associate

Job Responsibilities:
The Corporate Associate at the law firm is responsible for advising clients on securities law compliance. This includes ensuring adherence to the Securities Act of 1933 and the Securities Exchange Act of 1934. Key responsibilities involve preparing and reviewing registration statements, prospectuses, and other securities offering documents. The associate will be required to draft various securities-related legal documents such as registration statements, compliance reports under the '34 Act, underwriting agreements, purchase agreements, indentures, closing papers, and other related securities compliance documentation. The role also involves working with SEC regulations and advising clients on SEC reporting and disclosure requirements.

Education and Experience Information:
The position requires a minimum of a Juris Doctor degree or a foreign law degree combined with an LLM degree or a related equivalent degree. Additionally, candidates must have at least 3 years of experience in the job offered or in a related occupation. This experience must include:
- 3 years of experience in capital markets and securities law
- 3 years of experience drafting securities-related legal documents, including registration statements and related disclosures
- 3 years of experience with '34 Act compliance reports, underwriting agreements, purchase agreements, indentures, closing papers, and related securities compliance documentation
- 3 years of experience working with SEC regulations, including the '33 Act and the '34 Act
- 3 years of experience advising clients on SEC reporting and disclosure requirements

Admission to the New York State Bar is required. The employer will accept any suitable combination of education, experience, and training. Experience may have been gained concurrently.

Salary Information:
The salary for the position of Corporate Associate at the law firm is $153,254.
