Job Title: Commercial Counsel (US Remote)
Job Responsibilities:
The Commercial Counsel is tasked with providing legal advice, guidance, and expertise on routine transactional agreements and legal matters that could significantly impact the company's revenue and risk. Key responsibilities include:
- Drafting, reviewing, editing, finalizing, and negotiating routine transactional agreements to meet business and legal requirements. These agreements include sales/supply and reseller/distribution agreements, end user license agreements, professional services agreements, hosting agreements, Software as a Service (SaaS) and subscription agreements, and statements of work (SOWs). The role may also involve working on telecom agreements, maintenance agreements, consulting and advisory agreements, outsourcing, and other technology agreements.
- Managing contract documentation and approval flows to ensure consistency with internal processes.
- Assisting with contract disputes by understanding the issues, researching and providing guidance on solutions, and drafting settlement agreements.
- Researching and responding to general legal inquiries from the business, which may relate to contract disputes, regulatory issues, and new business initiatives.
- Providing counsel and guidance for the accomplishment of overall business objectives while fully complying with applicable laws and regulations and avoiding unacceptable risks. This includes supporting the business and product development processes by providing key inputs and advice on legal risks and issues, prioritizing risks, and ensuring compliance with government and customer-imposed requirements.
- Maintaining, revising, and/or updating contract templates.
- Proactively developing and maintaining technical knowledge in specialized areas, staying up-to-date on current trends and best practices.
- Working under general supervision of a manager and exercising reasonable judgment to determine when to escalate complex matters or decisions to the manager.
Education and Experience Information:
- Requires a Juris Doctor Degree and 2+ years of experience in corporate transactional, contracts negotiation, and/or commercial transaction experience.
- Admission to the Bar of at least one state is required or admitted to practice in at least one jurisdiction if international equivalent.
- Legal authorization to work in the . indefinitely is required. Employer work permit sponsorship is not available for this position.
Desired Skills/Qualifications:
- Experience in corporate transactional, contracts negotiation, and/or commercial transaction experience, preferably with a background in technology matters including software licensing, subscription and hosted environments, telecom, government contracts, and/or intellectual property.
- Experience working with legal policies and procedures and demonstrated ability to identify potential legal issues.
- Ability to approach legal matters with pragmatism and flexibility to recommend solutions that enable company success while protecting its legacy and future.
- Strong negotiation, consultation, and analytical skills.
- Excellent problem-solving skills, sound judgment, and decision-making skills.
- Strong interpersonal, presentation, and communication skills (including written and verbal).
- Ability to participate and collaborate in meetings with customers, vendors, attorneys, management, and other third parties regarding negotiation of agreements and general problem solving.

Salary Information:
The target base salary range is $85,000 - $110,000 USD. Pay within this range varies and depends on job-related knowledge, skills, and experience. The actual offer will be based on the individual candidate.
