Job Overview:

A distinguished law firm in New York City, NY, is seeking a seasoned attorney with deep expertise in employee benefits and executive compensation law. This leadership opportunity is ideal for a legal professional experienced in ERISA, retirement and welfare plan design, transactional support, and strategic client advising. The ideal candidate will demonstrate business development capabilities and possess a partial book of portable business related to employee benefits matters.

Duties:

  • Advise clients on the structure, implementation, and maintenance of retirement, welfare, and executive compensation plans.

  • Draft, review, and update plan documents, summary plan descriptions, and service agreements.

  • Provide legal guidance on ERISA and Internal Revenue Code compliance requirements.

  • Support M&A transactions, including conducting due diligence and drafting benefits-related provisions in purchase agreements.

  • Address executive compensation matters such as 409A, 280G, stock options, equity grants, and associated disclosure and securities compliance issues.

  • Review and negotiate administrative service agreements related to benefit plans.

  • Collaborate across practice areas to provide comprehensive legal strategies.

  • Cultivate and expand client relationships to grow the employee benefits practice.

Requirements:

  • Minimum of 10 years of focused experience in employee benefits law.

  • Demonstrated expertise in ERISA, executive compensation, and compliance with federal benefit regulations.

  • Experience supporting M&A transactions with benefits due diligence and integration support.

  • Capacity to independently manage complex matters and lead client engagements.

  • Business development acumen and client management skills.

Education:

  • Juris Doctor (.) from an accredited law school.

Certifications:

  • Admission to the New York State Bar (or ability to obtain admission promptly if currently out-of-state).

Skills:

  • Advanced legal drafting and negotiation skills.

  • Strong analytical capabilities and attention to detail.

  • Effective communicator with the ability to explain complex benefit issues in plain terms.

  • Team-oriented with leadership ability and a collaborative mindset.

  • Proficiency in handling transactional documentation and compliance disclosures.
