Job Title: Senior Public Company and Governance Associate
Job Responsibilities:
The Senior Public Company and Governance Associate at the law firm will be engaged in practicing in the areas of public company reporting and compliance, corporate governance, and capital markets. The associate will work closely with public companies on a day-to-day basis. This position involves supporting the law firm's national capital markets and public company advisory practice. Key responsibilities include:
- Working with large cap and mid cap public companies on their periodic reporting, proxy statements, Section 13 and Section 16 filings.
- Providing expertise on the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Ensuring compliance with the Nasdaq and New York Stock Exchange listing and governance requirements.
- Collaborating with issuer and underwriter clients in the life science, technology, and digital asset verticals.
- Effectively communicating with clients, lawyers, business professionals, and third parties.
- Producing deliverables and responding to correspondence efficiently.
- Meeting deadlines and performing required work duties.
- Fostering positive work relationships and complying with all firm policies and practices.
- Engaging in physical and sedentary activities such as working at a computer for extended periods and participating in meetings.
Education and Experience Information:
- Juris Doctor (JD) degree is required.
- Must be licensed to practice in California.
- A minimum of 5 years of capital markets experience is required.
- Experience with large cap and mid cap public companies is essential.
- Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Familiarity with Nasdaq and New York Stock Exchange listing and governance requirements is necessary.
- Experience working in a large law firm is preferred, with direct and applicable AmLaw 100 law firm experience being advantageous.
Salary Information:
The expected hiring range for this position at the law firm is between $365,000 and $435,000 per year. This range is dependent on the candidate's experience, skills, educational and professional background, and overall qualifications. Additionally, the firm offers a comprehensive benefits package, including medical, dental, and vision insurance, as well as a 401(k) plan.
