Counsel - IP and Commercial Legal
Job Overview:
A well-established law firm based in Cranberry Township, PA, is seeking a qualified legal professional with expertise in intellectual property and commercial law. This role involves advising on patent, trademark, and copyright matters, supporting transactional and strategic initiatives, and collaborating closely with internal stakeholders and external counsel. The ideal candidate brings a strong blend of technical IP knowledge and commercial acumen to guide legal risk assessments, support innovation strategies, and contribute to cross-functional business projects.
Duties:
Intellectual Property
Advise on intellectual property strategy aligned with organizational and business goals
Review, draft, and negotiate various legal agreements (., NDAs, licensing, research collaborations)
Assess third-party IP risks and provide freedom-to-operate opinions
Oversee patent and trademark portfolio management with support from external counsel
Participate in internal IP governance committees and patent review boards
Deliver employee training on intellectual property practices and obligations
Support due diligence efforts in M&A or partnership evaluations
Commercial Legal
Support business units on a range of commercial legal matters involving customers and vendors
Draft, review, and negotiate commercial contracts
Identify legal risks and provide mitigation guidance in project-based contexts
Collaborate with project and contract management teams to ensure compliance and risk controls
Advise leadership on compliance, regulatory, and commercial matters
Occasionally travel domestically or internationally as needed
Requirements:
Minimum 3 years of experience practicing law with a focus on intellectual property and/or commercial law
Experience in a large firm and/or in-house legal department preferred
Proficient in legal analysis, drafting, and negotiation
Demonstrated understanding of IP-related litigation, licensing, and portfolio management
Capable of managing complex commercial engagements and risk assessments
Education:
Juris Doctor (JD) from an accredited . law school
Certifications:
Active license to practice law in at least one . jurisdiction
Admission before the . Patent and Trademark Office is preferred but not required
Skills:
Excellent verbal and written communication abilities
Proficiency with Microsoft Office and legal research tools
Strong interpersonal and stakeholder management skills
Adaptability in fast-paced, collaborative environments
Business-oriented problem-solving approach
