Job Title: Counsel
Job Responsibilities:
- Review, negotiate, and structure grants and contracts to ensure regulatory compliance and advancement of organizational goals.
- Advise internal teams on risk, structuring, and documentation in alignment with the organization's mission.
- Collaborate with General Counsel, Deputy General Counsel, and Associate General Counsel to address complex . and global legal issues related to tax-exempt organizations and operational matters.
- Draft and manage Foundation policies, processes, and systems to ensure compliance and efficiency according to best practices.
- Develop and conduct trainings for staff on compliance issues related to grants, contracts, conflicts of interest, and best practices.
- Conduct legal due diligence on vendors, grantees, donors, and external partners.
- Manage and direct legal work to outside counsel.
- Coordinate with regional offices, local counsel, and professional service providers on local issues affecting regional offices and projects.
- Provide additional legal services and work on special projects as requested by senior legal leadership.
Education, Experience, and Skills:
- Generally expected to have 7+ years of experience in law practice, with some experience preferably with or for tax-exempt organizations.
- Juris Doctorate degree.
- Admission in good standing to the Bar in New York State.
- Experience in areas such as tax rules applicable to private foundations and public charities, international compliance, and/or contract negotiation is strongly preferred.
- Proven ability to manage multiple complex projects within deadlines.
- High initiative, judgment, discretion, and organizational ability.
- Strong interpersonal and communication skills across all management levels.
Salary Information:
- Pay Range: $172,000 - $192,000 annually. This represents the present low and high end of the company's pay range for this position. Actual pay will vary based on various factors, including but not limited to experience.
