Job Overview:
A prominent law firm is seeking a Counsel with extensive experience in private fund investments and public market transactions to join its Pensions, Benefits & Investments practice group. This role is ideal for a highly skilled attorney with at least 8 years of experience handling complex matters involving institutional investors and fund managers. The position offers flexibility in location, high-level legal work, and the opportunity to take full ownership of transactions across diverse asset classes. This is a non-partner track role, designed for attorneys who thrive in a collaborative, high-performance legal environment.

Location:

  • Sacramento, CA

Duties:

  • Advise institutional clients and fund managers on private fund investments and structuring

  • Manage legal work related to public market transactions, including compliance and documentation

  • Draft, review, and negotiate fund agreements, side letters, and other investment documents

  • Take lead on high-value transactions across various asset classes

  • Offer strategic legal advice on fiduciary obligations, governance, and regulatory issues

  • Coordinate with cross-practice teams to provide integrated legal support to clients

  • Handle multiple projects simultaneously with efficiency and professionalism

Requirements:

  • Minimum of 8 years of experience in investment management, pensions, benefits, or private funds law

  • Extensive knowledge of fund formation, asset management, and investment structuring

  • Demonstrated ability to work independently and manage complex transactions

  • Prior experience advising both managers and investors preferred

Education:

  • Juris Doctor (.) from an accredited law school

  • Strong academic credentials preferred

Certifications:

  • Active membership in good standing with the Bar of the state where the candidate will be based

Skills:

  • Advanced legal drafting, analytical, and negotiation capabilities

  • Expertise in private equity, hedge funds, and/or public securities law

  • Strong client communication and relationship management skills

  • Ability to manage workload under deadlines and prioritize tasks effectively

  • Collaborative, team-oriented approach with attention to detail
