Job Title: Paralegal (Contract Specialist)
Job Responsibilities:
The Paralegal (Contract Specialist) will play a crucial role in supporting the company's Law and Claims Department by providing expert assistance in the management and negotiation of various sourcing agreements. The responsibilities include:
- Assisting in-house attorneys and stakeholders with the review, drafting, and negotiation of a wide variety of sourcing agreements, such as purchase and service agreements, technology purchase and service agreements, software licenses, and operating agreements.
- Proactively managing sourcing agreements from origination to execution, tracking status, and communicating next steps to in-house attorneys, stakeholders, and counterparties.
- Consulting with various departments, including Strategic Sourcing, Risk Management, Finance, Environmental, and Tax, on contract issues.
- Ensuring compliance with company policy and regulatory requirements in contract management and negotiation.
- Assisting with the maintenance of electronic tracking systems and contract lifecycle management software for sourcing agreements.
- Assisting in the development of form agreements and implementation of processes and procedures for the review and approval of sourcing agreements.
- Conducting training for internal clients on appropriate form agreements and procedures, and acting as a resource for contract-related questions.
Education and Experience Information:
Basic Qualifications:
- Ability to work in the . without company sponsorship now and in the future.
- A minimum of 4 years of legal-related experience.
- One of the following is required:
- Paralegal certificate from an American Bar Association-approved institution or certification as a Legal Assistant from the National Association of Legal Assistants.
- Associates degree.
Preferred Qualifications:
- A Bachelor of Arts or Bachelor of Science degree is desired.
- 5 years of experience focused on general corporate matters, general contracts, and transactional matters is preferred. This includes drafting contract language rather than merely filling in blanks or selecting alternate clauses.
- Superior knowledge of key business and contractual risks and demonstrated ability to draft, review, issue spot, and revise contracts.
- Experience with transaction processes, including maintaining contract files and exhibits.
- Ability to identify, analyze, articulate, and communicate business and contractual risks and positions.
- Ability to present legal and business issues effectively to senior legal and business personnel.
The position requires a candidate who is organized, self-motivated, capable of prioritizing multiple tasks, personable, and works well in a team environment. The candidate must act with high accountability, take ownership of the contracts team's success, and display professionalism and ethics. Excellent verbal and written communication skills, basic understanding and ability to use Microsoft Office suite, and the ability to handle multiple complex assignments with short deadlines are necessary. Experience with contract management software, particularly Salesforce and Conga CLM/Apttus, is a plus.
Salary Information:
The salary range for the Paralegal (Contract Specialist) position is between $68,800 and $85,000. Additional Information:
The position is full-time and located in Fort Worth, TX, with the possibility of working one day per week remotely. Relocation assistance may be available based on business needs.
