Job Title: Corporate Paralegal
Job Responsibilities:
The Corporate Paralegal is responsible for providing essential support to attorneys within the Corporate Department at a law firm. This role involves working as part of a team to deliver high-quality service to both internal and external clients, particularly in the context of corporate and commercial transactions. The key responsibilities include:
- Drafting closing documents and other routine documents necessary at all stages of a corporate transaction, including those related to mergers, acquisitions, UCC, SEC, Blue Sky, 40 Act, and Federal and State compliance.
- Assembling and organizing documents related to corporate transactions, including financial data and corporate records, and summarizing documents as needed.
- Managing large closings, preparing closing memoranda, and closing binders.
- Preparing and filing organizational and other documents concerning partnerships and other business entities.
- Incorporating, organizing, and qualifying corporations, limited liability companies, and partnerships.
- Attending Corporate board and shareholder meetings.
- Drafting and maintaining corporate minutes and bylaws.
- Organizing publications, hearings, and shareholder mailings.
- Preparing correspondence regarding client matters.
- Conducting research related to UCC, SEC, Secretary of State, and other government entities’ filings and other requirements and coordinating filing searches.
- Analyzing corporate histories and corporate records.
- Researching Corporation Indexes for articles of incorporation, amendments, and suspension of corporations.
- Preparing, proofreading, and filing documents including Forms 8-k; 4; 10-Q.
- Preparing new stock certificates and maintaining stock records.
- Preparing annual meeting scripts, and board and shareholder resolutions and actions.
Education and Experience Information:
- A Bachelor’s degree or equivalent experience is required.
- Paralegal Certification is preferred.
- A minimum of 3 years of relevant work experience in a professional environment, which includes progressive responsibility in managing corporate transactions, is required.
- Law firm experience is preferred.
- Experience with managing and using SAAS-based capitalization software, such as CARTA, is beneficial.
- High level of proficiency with technology, including Microsoft Office Suite applications, Adobe Acrobat, Lexis/Nexis, Uniform Commercial Code (UCC), and other corporate records filing and transaction databases, Westlaw (and Dialog), and other internet research tools is required.
- Excellent organizational skills, attention to detail, and the ability to multi-task are essential.
- Highly effective written and oral communication skills are required.
- Creative problem-solving abilities are necessary.
- The ability to work independently, take initiative, and move projects to conclusion is important.
- Maintaining a professional demeanor in stressful situations is required.
- Being a reliable and dependable team player is crucial.
- Maintaining confidentiality of client information is mandatory.
- The ability to perform well under pressure is required.
Salary Information:
This position is a full-time, regular role with a comprehensive health benefits package, including medical, dental, and vision coverage. The firm provides hybrid work schedules, combining in-office workdays and remote workdays. The pay range for this position varies by location:
- In Chicago, Atlanta, Dallas, and Houston: to per hour.
- In Raleigh and Winston: to per hour.
- In New York and Washington, DC: to per hour.
