Job Title: Corporate Paralegal
Job Responsibilities:
The Corporate Paralegal at the law firm plays a crucial role in supporting attorneys within the Corporate Department across various office locations including Chicago, Atlanta, Raleigh, Winston-Salem, Dallas, Houston, New York, and Washington, DC. The paralegal is responsible for various essential functions required in corporate and commercial transactions. Key responsibilities include:
- Drafting closing documents and other routine documents essential at all stages of a corporate transaction, covering areas such as mergers, acquisitions, UCC, SEC, Blue Sky, 40 Act, and both Federal and State compliance.
- Assembling and organizing documents related to corporate transactions, which includes handling financial data and corporate records, and summarizing documents as required.
- Managing large closings, preparing closing memoranda, and closing binders.
- Preparing and filing organization and other documents related to partnerships and other business entities.
- Incorporating, organizing, and qualifying corporations, limited liability companies, and partnerships.
- Attending corporate board and shareholder meetings, and drafting and maintaining corporate minutes and bylaws.
- Organizing publications, hearings, and shareholder mailings.
- Preparing correspondence related to client matters.
- Conducting research related to UCC, SEC, Secretary of State, and other government entities’ filings, and coordinating filing searches.
- Analyzing corporate histories and corporate records.
- Researching Corporation Indexes for articles of incorporation, amendments, and suspension of corporations.
- Preparing, proofing, and filing documents including Forms 8-K, 4, and 10-Q.
- Preparing new stock certificates and maintaining stock records.
- Preparing annual meeting scripts, and board and shareholder resolutions and actions.
Education and Experience Information:
The position of Corporate Paralegal requires:
- A Bachelor’s degree or equivalent experience is required.
- Paralegal Certification is preferred.
- A minimum of 3 years of relevant work experience in a professional environment, with a focus on managing corporate transactions.
- Experience within a law firm is preferred.
- Experience with managing and using SAAS-based capitalization software, such as CARTA.
- High proficiency with technology, including Microsoft Office Suite applications, Adobe Acrobat, Lexis/Nexis, Uniform Commercial Code (UCC), and other corporate records filing and transaction databases, Westlaw (and Dialog), and other internet research tools.
- Excellent organizational skills, attention to detail, and the ability to multi-task.
- Highly effective written and oral communication skills.
- Creative problem-solving abilities.
- The ability to work independently, taking initiative to move projects to conclusion.
- Maintaining a professional demeanor in stressful situations.

Salary Information:
The salary for the Corporate Paralegal position varies depending on the office location:
- For Chicago, Atlanta, Dallas, and Houston: to per hour.
- For Raleigh and Winston-Salem: to per hour.
- For New York and Washington, DC: to per hour.
