Law Firm Seeks Experienced Corporate Securities Associate in Multiple Offices Overview: Saul Ewing, a leading law firm, is seeking an experienced corporate associate to join our expanding securities group. This is an exciting opportunity to join a sophisticated and entrepreneurial practice in a supportive and collaborative environment. We are looking for candidates with a minimum of four to six years of in-depth experience in various aspects of corporate securities law. Responsibilities: - Advising on public company rules and regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934 - Assisting with public and private offerings of securities - Familiarity with national securities exchange listing rules - Preparing reports on Forms 10-K, 10-Q, and 8-K - Drafting proxy statements for annual and special shareholder meetings - Handling Section 16 reporting (Forms 3, 4, and 5) - General corporate and corporate governance experience, such as drafting board resolutions, policies, and press releases - Prior experience with broker-dealers, FINRA, investment advisers, or fund formation is a plus Qualifications: - Four to six years of relevant experience in corporate securities law - in the jurisdiction of practice - Strong knowledge of securities laws and regulations - Excellent communication and writing skills - Ability to work independently and as part of a team Locations: This position is open to our offices in Boston, New York, Philadelphia, and Washington DC. Salary and Benefits: The pay for this position will be determined based on relevant skills and experience, education, external market data, internal equity, and other job-related factors. The anticipated pay range for this role is $210,000 - $235,000.
