This position will be responsible for forming entities, creating and maintaining structure charts, preparing limited liability company agreements, making assumed-name filings, preparing resolutions and secretary’s certificates, dissolving entities, and more.

The successful candidate will have a Bachelor’s degree, a Paralegal Certificate from an ABA-approved program, and at least three (3) years of experience as a corporate or real estate paralegal working with complicated joint venture structures, preferably in a large law firm. Experience reviewing title, survey and zoning materials, working with title companies to close transactions, and working with databases is a plus but not required.

Essential Duties and Responsibilities:

- Forming entities and qualifying them to do business in various jurisdictions
- Creating and maintaining complicated structure charts
- Preparing limited liability company agreements from a template
- Making assumed-name filings
- Preparing resolutions and secretary’s certificates
- Dissolving entities and cancelling registrations
- Maintaining minute books
- Maintaining officer, director and authorized signatory registers for multiple entities
- Assisting with closings and post-closing matters such as follow-up efforts to obtain signed and recorded documents
- Ordering and analyzing due diligence, including organizational documents, good standing certificates and lien searches
- Possibly title work, surveys and zoning reports
- Interacting regularly with clients

Required Qualifications:

- Bachelor’s degree
- Paralegal Certificate from ABA-approved program preferred
- Three (3) or more years of experience as a corporate or real estate paralegal working with complicated joint venture structures, preferably in a large law firm
- Experience reviewing title, survey and zoning materials a plus but not required
- Experience working with title company to close transactions a plus but not required
