We are looking for an experienced Corporate Paralegal to join our team and assist attorneys with various types of legal matters. ### Key Responsibilities * Maintaining capitalization records and assisting with securities transactions * Analyzing federal and state securities exemptions and handling federal and state securities filings * Setting up and maintaining deal data rooms * Preparing formation documents for corporations and handling state filings * Assisting clients with various corporate matters including routine stock option issuances and handling Delaware franchise tax filings * Gather, organize, summarize and index documents from various sources * Attendance at and participation in meetings and/or closings * Preparation of documents and correspondence * Special projects and additional duties as assigned ### Qualifications * 3-5 years’ experience in related area * Organizational skills to work independently and meet deadlines in an atmosphere of frequent interruptions * Strong attention to detail * Working familiarity with Carta, Shareworks, iManage * Experience in the EC/VC practice including drafting consents and organizational documents * Organizational skills to maintain daily accounting of time records and input timesheets into the system directly * Communication skills to interact with all levels of internal staff, attorneys and management and external clients of the firm * Analytical and critical thinking skills sufficient to make decisions regarding daily work * Time management skills to handle multiple tasks efficiently and accurately ### Minimum Education * ### Salary Salary is commensurate with experience. ### Benefits At Law Firm, we promote a work environment in which individuals have access to the resources they need to be at their best both professionally and personally.
