## Corporate Paralegal

At Law Firm, we believe in striving to achieve the highest standards of performance and success. We are looking for an experienced Corporate Paralegal to join our team and assist attorneys with various types of legal matters.

### Key Responsibilities

* Maintaining capitalization records and assisting with securities transactions
* Analyzing federal and state securities exemptions and handling federal and state securities filings
* Setting up and maintaining deal data rooms
* Preparing formation documents for corporations and handling state filings
* Assisting clients with various corporate matters including routine stock option issuances and handling Delaware franchise tax filings
* Gather, organize, summarize and index documents from various sources
* Attendance at and participation in meetings and/or closings
* Preparation of documents and correspondence
* Special projects and additional duties as assigned

### Qualifications

* 3-5 years’ experience in related area
* Organizational skills to work independently and meet deadlines in an atmosphere of frequent interruptions
* Strong attention to detail
* Working familiarity with Carta, Shareworks, iManage
* Experience in the EC/VC practice including drafting consents and organizational documents
* Organizational skills to maintain daily accounting of time records and input timesheets into the system directly
* Communication skills to interact with all levels of internal staff, attorneys and management and external clients of the firm
* Analytical and critical thinking skills sufficient to make decisions regarding daily work
* Time management skills to handle multiple tasks efficiently and accurately
