Corporate Paralegal

Greenberg Traurig, a leading global law firm, is currently seeking a Corporate Paralegal to join their team in New York. This is a full-time position with competitive compensation and benefits package. This role will provide organizational and substantive assistance to attorneys in the Corporate Department practice group, including working on a variety of corporate transactions such as private company financings, mergers and acquisitions, and joint ventures. The ideal candidate will have a minimum of 5 years' experience as a Corporate Paralegal in a mid-to-large law firm or in-house transactional position, and be a New York notary.

Salary: $85,000 to $130,000 annually

Responsibilities:
- Assisting with private company financings, mergers and acquisitions, and joint ventures
- Familiarity with SEC filings, including Form D and EFD
- Conducting research and analysis related to corporate transactions
- Coordinating and managing multiple transactional closings
- Drafting corporate organizational documents and resolutions
- Preparing and filing UCC filings
- Maintaining entity minute books and ledgers
- Redlining and proofreading documents
- Conducting online and factual searches

Qualifications:
- Bachelor's degree and Paralegal Certification preferred
- Minimum of 5 years' experience as a Corporate Paralegal
- New York notary
- Proficiency in Microsoft Word, Excel, and Outlook
- Experience with Westlaw, Lexis, and SEC Edgar
