Attorney II Global Banking and Global Markets
Job Responsibilities:
This position involves providing legal counsel on products, services, and regulatory matters related to the Global Banking and Global Markets businesses. The key responsibilities include:
- Analyzing legal issues and their implications on products, services, and regulatory matters.
- Communicating clear, concise, actionable, and business-informed legal advice, occasionally to leadership.
- Interpreting rulings, laws, and regulations from a compliance and business control standpoint.
- Drafting, reviewing, and/or negotiating complex legal documents, such as engagement letters, debt agreements, offering documents, and legal opinions.
- Gathering, assessing, and evaluating information from various sources with an open mind to make a judgment or inference.
- Supporting company responses to government agency examinations and investigations, enforcement actions, private complaints, and litigation.
- Directing the work of outside legal counsel and coordinating the work of other Legal staff such as Paralegals.
- Training, mentoring, or supporting the development of peers.
Additional specific responsibilities include:
- Providing legal advice to the businesses engaged in structured finance products, primarily structured repo financing and asset-backed lending.
- Providing regulatory advice regarding margin rules and broker-dealer regulation relating to such products.
- Following and helping implement regulatory and legal changes for products.
- Coordinating with outside counsel and the business with respect to the upkeep of form documentation and bank regulatory and internal requirements.
Education and Experience Information:
- Minimum Education Requirement: Doctorate degree in a related field.
- Required Qualifications:
- Familiarity with fixed income structured products.
- Familiarity with structured repo and asset-backed lending arrangements.
- Experience with US securities rules.
- Desired Qualifications:
- 4 years plus experience at a major law firm, bank, or similar institutional experience.
- Familiarity with some institutional broker-dealer and banking businesses and products (., fixed income sales and trading, structured products, and asset-backed securities).
- Candidate should be a self-starter, quick learner, and must be able to work independently and proactively.
- Candidate should be someone who can handle multiple complex assignments and navigate a large institution.
Salary Information:
- Pay range: $175, - $259, annualized salary, offers to be determined based on experience, education, and skill set.
- Discretionary incentive eligible: This role is eligible to participate in the annual discretionary plan, with awards based on individual performance, line of business contributions, and overall success of the company.
