Pro bono

In the latter half of the 1930s, Milbank Tweed's name partner Harrison Tweed wrote "providing competent legal services for all is an obligation of the bar," and today, after more than 75 years, public service still remains an obligation that the firm is proud to fulfill.

Milbank Tweed is one of the few US firms where each and every attorney of the firm, regardless of status or practice area, is required to dedicate a minimum of 20 hours every year to pro bono work. Further, the firm's unique Fellowship program enables its first-year and fourth-year associates to work for three months at full pay at a pro bono legal services provider of their choice.

• Serve as special New York counsel to J.P. Morgan Securities LLC in an offering of $299 million 1.90% Senior Notes Due 2024 by Tagua Leasing LLC; the notes are guaranteed by Export-Import Bank of the United States (Ex-Im Bank).
• Represent Credit Agricole Securities and Goldman, Sachs & Co. in an offering of approximately US$288 million 1.829% Senior Notes Due 2024 by Carobao Leasing LLC; the notes are guaranteed by Export-Import Bank of the United States (Ex-Im Bank).
• Represented J.P. Morgan, RBS, Wells Fargo Securities, and a syndicate of ten other underwriters in connection with the registered public offering by BRE Properties, Inc. (BRE) of $300 million 3.375% Senior Notes due 2023.
• Represented the underwriters in two separate ten-year Rule 144A/Regulation S finances with a combined total of $575 million.
• Represented the initial purchasers in three separate offerings of notes by Pemex, Mexico's national oil and gas company, totaling $1.2 billion.
• Represented underwriters who led the initial public offering of Chilean construction and investment firm Inversiones La Construccion SA; the deal, which raised $466 million on the Santiago Stock Exchange when it debuted July 20, constitutes the largest IPO ever in Chile.
• Represented Nippon Telegraph and Telephone (NTT) in its global offering of US$750 million 1.4% Notes due 2017; this was the first registered offering by NTT in 14 years and was priced with the lowest coupon in the Yankee space.
• Represented an international lender group in arranging a $547 million loan for the financing of a new-generation deepwater drilling rig to be used for oil exploration in the Gulf of Mexico.
• Represented the Government of Bermuda in its Rule 144A/Regulation S global offering of US$475 million 4.138% senior notes due 2023; the offering achieved the lowest fixed rate bond yield ever for Bermuda, and the notes were dual listed on the Luxembourg and the Bermuda Stock Exchanges.
• Represented Catalyst Health Solutions, Inc., in its $4.75 billion merger with SXC Health Solutions Corp.
• Represented Citigroup, Deutsche Bank Securities, Credit Suisse, UBS Investment Bank, Wells Fargo Securities, and a syndicate of six other underwriters in connection with the registered public offering by Pioneer Natural Resources Company of $600 million aggregate principal amount of 3.95% Senior Notes due 2022.
• Represented leading Latin American retailer Cencosud S.A. in its global offering and US IPO on the New York Stock Exchange; the US IPO was part of a global offering that raised approximately $1.3 billion.
• Represented the Inter-American Development Bank in providing a US$200 million revolving credit line to Abengoa S.A. of Spain; the funds are intended to finance development of a host of renewable energy-related projects across Latin America.
• Advised Barclays and HSBC as joint lead managers and joint bookrunners on a US$250 million offering of 8.0% Notes Due 2017 by Vietnam Joint Stock Commercial Bank for Industry and Trade, the country's second-largest bank by market capitalization; a benchmark transaction for Vietnam, the deal is the first successfully completed international bond offering by a Vietnamese state-owned bank.
• Advised Ringier Axel Springer Media AG on the acquisition of 75% of the shares in the Polish Online Portal Onet.pl.
• Represented Qatar Solar Technologies (QSTec) in securing US $1 billion in financing for construction of a manufacturing plant in the energy hub of Ras Laffan Industrial City.
• Represented the government of Guatemala in an issuance of US$700 million in 10-year sovereign bonds - a substantial offering for a country making its first return to international debt markets since 2004.
• Represented a group of international lenders in financing a 237-mile, 36-inch natural gas transmission pipeline being laid in the Mexican state of Chihuahua, with an interconnection point at the US / Mexico border; the debt provided was a US$378 million facility, while total project costs for the pipeline - expected to bring US supplies of natural gas to several Mexican states - are estimated at US$472 million.
