Job Title: Corporate Legal Counsel

Job Responsibilities:
The Corporate Legal Counsel will manage a wide array of . securities and corporate law issues. Their primary internal clients will encompass various departments, including Finance, Accounting, Investor Relations, HR/Executive Compensation, Corporate Communications, Treasury, and the Board of Directors. The key responsibilities include:

- Supporting the Legal Department in preparing the company's '34 Act filings and proxy statements for annual and special shareholder meetings.
- Assisting with corporate governance, executive compensation, capital markets, and Board of Directors matters.
- Collaborating effectively with multiple functions such as Finance, Treasury, Investor Relations, Accounting, Tax, Legal, Executive Compensation, and senior business leaders.
- Working alongside the VP of Legal in preparing Board of Directors/Committee materials.
- Acting as a trusted advisor to senior executives and the Board of Directors.
- Collaborating with the Senior Corporate Paralegal on corporate formation and managing international subsidiaries.
- Supporting the continuous improvement of policies and procedures.
- Handling special projects as requested.

Education and Experience Information:
The ideal candidate for the Corporate Legal Counsel position must fulfill the following educational and experience criteria:

- Must be an attorney qualified to practice law in at least one . state.
- Must have excellent academic credentials, including a law degree from a reputable law school.
- A minimum of 7 years of experience practicing as an attorney with a top law firm or public company legal department, or a combination of both. Experience with technology companies is preferred.
- High-level expertise in drafting public company proxy statements for annual and special shareholder meetings, including compensation tables and compensation discussion & analysis.
- High-level expertise in reviewing and assisting with public company '34 Act filings, including annual reports on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8-K, and Section 16 filings.
- High-level expertise in advising on executive compensation arrangements, including equity plans and 10b5-1 trading plans.
- High-level expertise in advising on Investor Relations and Corporate Communications matters, including earnings releases, press releases, and management presentations to investors and securities professionals.
- High-level expertise in governance-related matters, including stock exchange requirements and interactions with proxy advisory firms.
- Experience working on treasury matters such as letters of credit, parent guaranties, and intercompany loans is a plus.
- Excellent interpersonal skills, business judgment, strategic thinking, superior work ethic, and highly team-oriented.
- Strong communication and presentation skills, both written and spoken, with the ability to interact with people at all levels in a complex matrix organization.
- Ability to work efficiently with cross-functional teams and manage numerous projects simultaneously under deadline pressure.
