Job Title: Senior Legal Counsel - Corporate, Securities and Employment

Job Responsibilities:
The Senior Legal Counsel at the company will play a pivotal role in providing strategic guidance on corporate governance, employment, and compliance matters. This role involves overseeing governance processes, implementing compliance programs, and managing employment-related legal issues. Key responsibilities include:

- Equity Administration & Management: Oversee the administration of the company's equity programs, including stock options, RSUs, equity grants, and employee equity education. Ensure compliance with equity-related regulations and reporting requirements, advise on equity grant practices, and maintain accurate records. Provide strategic counsel to HR, Finance, and leadership teams on equity plan structure, compensation strategies, and best practices.

- Employment Law & Practices: Provide expert counsel on employment law issues such as hiring practices, employee relations, performance management, terminations, equity compensation, and compliance with employment regulations. Design and conduct employment law training programs for HR, managers, and employees to foster a culture of compliance and reduce organizational risk.

- Strategic Transactions & Entity Management: Support and lead strategic initiatives, including mergers and acquisitions, investments, and other corporate transactions from due diligence through execution. Oversee multi-national subsidiary entity management, ensuring intercompany agreements and entity structures remain optimized and compliant.

- Corporate Governance & Compliance: Manage corporate governance activities, including Board and committee processes, documentation, and policies to ensure effective and compliant governance practices. Create, implement, and continuously improve comprehensive compliance programs, policies, and procedures to proactively address legal and regulatory requirements across multiple jurisdictions. Establish and oversee compliance tracking systems and metrics, including periodic reporting to senior leadership and the Board on governance and compliance performance.

Education and Experience Information:
- The candidate must have a JD from an accredited law school and an active membership in good standing with a US Bar.
- The role requires 8+ years of legal experience, ideally advising high-growth technology companies on corporate governance, employment law, compliance programs, and transactional matters.
- A strong comfort level with equity management and planning, corporate advisory, and . employment matters is essential.

- Exceptional analytical, strategic planning, and problem-solving capabilities.
- Strong communication and relationship-building skills, with the ability to effectively engage with senior executives, cross-functional teams, and external stakeholders.
- Highly organized and detail-oriented, capable of managing multiple projects simultaneously.

Salary Information:
The base salary for this role is between $146,000 and $210,000. This range is representative of base salary only and does not include equity, sales bonus plans (when applicable), and benefits. The salary is determined by job-related experience, education/training, residence location, as well as market indicators.
