Job Title: Corporate Counsel
Job Responsibilities:
The Corporate Counsel at the company is tasked with managing the full spectrum of legal, regulatory, and governance matters within a publicly traded technology company. This strategic and cross-functional role necessitates strong legal acumen and a deep understanding of the tech industry, alongside expertise in business and compliance operations. Key responsibilities include:
- Public Company Compliance & Securities Law:
- Ensure ongoing compliance with SEC rules and regulations, including quarterly and annual filings (10-K, 10-Q, 8-K).
- Oversee proxy statements, shareholder communications, and earnings releases.
- Administer insider trading policies and Section 16 filings.
- Lead the implementation of SOX compliance (Sections 302 and 404) in collaboration with the CFO and Internal Audit teams.
- Support Regulation FD compliance related to investor interactions, earnings calls, and public disclosures.
- Corporate Governance:
- Plan and support Board of Directors and Committee meetings.
- Maintain governance documents, board minutes, and committee charters.
- Advise the Board and executive leadership on governance trends, shareholder activism risks, and evolving ESG expectations.
- Commercial Contracting:
- Draft, review, negotiate, and advise on a broad range of commercial agreements, including Master Service Agreements (MSAs), Statements of Work (SoWs), Non-Disclosure Agreements (NDAs), software licensing and SaaS contracts, and partnership and reseller agreements.
- Legal Department Management:
- Serve as a trusted advisor to the CEO, CFO, COO, and executive leadership, balancing legal risk with business objectives.
- Build and lead a scalable in-house legal team aligned with business priorities.
- Manage outside counsel budgets, billing practices, and strategic legal vendor relationships.
- Cross-Functional Collaboration:
- Partner with Finance, HR, IT Security, and Investor Relations.
- Implement legal technology and processes to improve operational efficiency and reduce legal spend.
Education and Experience Information:
- A . from an accredited . law school and active membership in at least one . state bar association (California preferred).
- 8–12+ years of legal experience, including roles in law firms and in-house counsel.
- Deep knowledge of . securities law, SEC reporting, SOX compliance, and public company governance.
- Strong background in commercial contracting, technology transactions, and intellectual property matters.
- Prior experience supporting mergers and acquisitions (M&A), capital markets, or other strategic transactions.
- Exceptional communication, judgment, and interpersonal skills.
- Ability to manage multiple stakeholders and prioritize in a fast-paced, high-growth environment.
- Demonstrated ability to lead and scale a legal function in a dynamic business environment.
