The position provides an opportunity to engage directly with clients on complex corporate deals and strategic advisory matters, including mergers, acquisitions, reorganizations, and compliance considerations.
Duties:
Advise clients on a range of corporate transactions, including M&A, restructurings, and joint ventures
Draft and negotiate corporate agreements, purchase/sale contracts, and governance documents
Provide guidance on entity formation, business succession planning, and regulatory compliance
Conduct legal due diligence and risk analysis for business transactions
Collaborate with attorneys across departments to deliver holistic legal solutions
Support clients with ongoing operational legal needs, including commercial contracts
Requirements:
Minimum of 4 years of experience handling corporate transactional matters
Demonstrated experience in mergers and acquisitions, reorganizations, and corporate governance
Ability to handle client matters independently with minimal supervision
Strong interpersonal skills for effective client engagement and teamwork
Attention to detail and the ability to manage multiple priorities
Education:
Juris Doctor (.) degree from an ABA-accredited law school
Certifications:
Active license to practice law in Pennsylvania
Skills:
Deep understanding of general corporate and contract law
Strong analytical, organizational, and problem-solving abilities
Excellent written and verbal communication skills
Proficiency in legal research and drafting
Self-starter with the ability to manage deadlines and deliver high-quality work
