Job Overview:

A prominent law firm based in Philadelphia, PA, is seeking a mid-level associate attorney to support its sophisticated private investment funds practice. The position is ideal for attorneys with experience advising asset managers and fund sponsors on fund formation and regulatory matters across a broad range of investment strategies. This role offers exposure to high-profile fund launches, investor negotiations, and legal structuring of private capital vehicles.

Duties:

  • Support all stages of private fund formation, from structuring through final close

  • Draft and negotiate core documentation such as:

    • Offering memoranda

    • Partnership and operating agreements

    • Subscription materials

    • Management and advisory contracts

  • Engage with clients and coordinate processes across multiple internal teams

  • Manage investor onboarding, including reviewing side letters and processing subscription materials

  • Interpret and apply federal regulatory regimes, including:

    • The Investment Advisers Act

    • The Investment Company Act

    • Regulation D and related exemptions

  • Collaborate on project timelines and closing procedures

  • Contribute to internal knowledge-sharing and support junior team members where appropriate

Requirements:

  • 3 to 6 years of experience related to private fund structuring, formation, or capital raising

  • Demonstrated ability to oversee fund launches from inception to close

  • Skilled in navigating investor relations, particularly concerning side letters and negotiation points

  • Familiarity with . securities laws applicable to private investment vehicles

Education:

  • Juris Doctor (JD) from an accredited . law school

Certifications:

  • Active membership in good standing with at least one State Bar

  • Pennsylvania Bar admission (or eligibility to waive in) preferred

Skills:

  • Exceptional drafting and negotiation capabilities

  • Strong interpersonal and client-facing skills

  • Comfortable handling complex transactional processes under deadlines

  • Organizational discipline and detail-oriented project execution
