Job Title: Paralegal (Commercial Contracts)
Job Responsibilities:
- Review and negotiate a broad range of global buy-side agreements across all business areas globally, including software licensing, cloud agreements (SaaS, PaaS, IaaS), and professional services.
- Review and negotiate data processing addendums to ensure compliance with data protection and privacy regulations, including GDPR.
- Draft comprehensive legal and commercial contractual terms to align with the company’s contracting framework and standard methodologies.
- Collaborate and communicate regularly with relevant stakeholders to achieve comprehensive contract review and risk assessment, including Procurement, Information Security, Data Privacy, Records Management, and Compliance.
- Apply knowledge and corporate policies to mitigate contractual risk.
- Assist senior lawyers on litigation matters, such as consolidating information and drafting responses to prepare for and respond to discovery requests.
- Provide legal support and guidance to business partners to ensure contract terms meet business needs within acceptable risk tolerance thresholds.
- Provide creative and strategic business-oriented solutions to aid in the contract negotiation process.
- Identify legal and commercial contractual risks and effectively convey concerns and provide advice to internal business partners to assist in decision-making processes.
- Perform research and analysis to ensure the company operates in accordance with applicable legal parameters.
- Ensure the accuracy of agreements, addendums, and amendments.
- Advise all areas of the business on a variety of topics, including contracts, Intellectual Property, Information Security, and Data Privacy matters.
- Assist in updating and maintaining contract templates.
- Maintain well-developed professional relationships.
- Assist in recommending process improvements and efficiencies as needed.
- Provide legal support to attorneys and assist with special projects as needed.
- Carry out additional duties as assigned.
Education and Experience Information:
- Bachelor’s degree or equivalent required.
- Experience in contract review and negotiation required.
- Demonstrated familiarity with legal concepts such as limitation of liability, indemnification, and confidentiality required.
- Strong attention to detail.
- Excellent communication skills, both verbal and written.
- Paralegal or other relevant legal experience preferred.
- Experience with issues related to intellectual property, warranties, litigation, data protection, and privacy regulations (including GDPR) preferred.
- Experience in the mutual fund/financial services or information technology industries preferred.
Salary Information:
- The base salary range for this position is $90,000-100,000. This range is estimated for this role. Actual pay may be different.
- Position is eligible to receive an annual discretionary bonus award from the profit pool. Individual bonuses are determined based on company, department, team, and individual performance.
