Job Overview:
A nationally recognized law firm is seeking a seasoned Corporate Securities Attorney with 5–12 years of experience to join its growing Corporate Practice Group. This position will focus on federal securities law compliance and regulatory filings and is ideal for attorneys looking to handle high-impact matters in a flexible work environment. The role may be performed from any of the firm’s . offices or remotely, offering outstanding professional development opportunities and exposure to high-profile transactions.

Location:

  • Wilmington, DE

Duties:

  • Draft and submit filings with the Securities and Exchange Commission (SEC), FINRA, NYSE, Nasdaq, and OTC Markets Group

  • Advise clients on public company disclosure obligations and regulatory compliance

  • Prepare and review periodic reports, including Forms 10-K, 10-Q, 8-K, and proxy statements

  • Assist with securities offerings, registration statements, and related documentation

  • Counsel clients on corporate governance and board responsibilities

  • Support clients through mergers, acquisitions, and other capital markets transactions

  • Stay up to date on evolving securities regulations and educate clients accordingly

Requirements:

  • Minimum of 5 years and up to 12 years of relevant securities law experience

  • Demonstrated expertise in public company filings and securities law compliance

  • Experience advising clients on listing standards and capital markets operations

  • Capability to work independently with minimal supervision on complex matters

Education:

  • Juris Doctor (.) from an accredited law school

Certifications:

  • Active license to practice law in current jurisdiction

  • Eligibility for admission without examination, if applicable

Skills:

  • Advanced legal drafting and research abilities

  • Strong interpersonal and client-relations skills

  • Meticulous attention to detail and organizational skills
