Job Overview:
A prestigious law firm is seeking a highly qualified midlevel associate to join its Corporate & Business Transactions practice. This is an excellent opportunity for an attorney with 4-5 years of experience in M&A/Private Equity transactions, particularly in drafting and negotiating transaction agreements. The ideal candidate will possess strong organizational, drafting, and analytical skills, and will work on high-profile corporate matters alongside experienced attorneys.

Location:  Pittsburgh, PA 

Duties:

  • Manage M&A and Private Equity transactions, including drafting, negotiating, and reviewing transaction agreements.
  • Advise clients on corporate governance, compliance, and other general corporate matters.
  • Provide strategic legal counsel on business transactions, mergers, acquisitions, and joint ventures.
  • Conduct legal research and prepare documents related to corporate deals.
  • Participate in structuring corporate transactions and advising clients throughout the process.
  • Develop and maintain client relationships, ensuring effective communication and high-quality service.
  • Collaborate with team members to ensure the smooth execution of transactions.

Requirements:

  • 4 to 5 years of experience in M&A/Private Equity transactions.
  • Proven ability to draft, review, and negotiate complex transaction agreements.
  • Strong organizational, analytical, and time-management skills.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Active bar membership in the state where the office is located.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active bar membership in the state where the office is located.

Skills:

  • Strong drafting and negotiation skills, particularly in M&A and Private Equity transactions.
  • Exceptional analytical and research skills.
  • Excellent written and verbal communication abilities.
  • Ability to work collaboratively within a team and build strong client relationships.
  • Capable of managing complex transactions and providing strategic legal guidance.
