Job Overview:
An elite law firm is seeking a Corporate Associate with 4–6 years of experience to join its Capital Markets and Public Company Advisory practice. This role offers the opportunity to advise high-growth and established public companies on SEC compliance, corporate governance, and securities offerings. The position also includes transactional work with issuers and investment banks, including IPOs, PIPEs, and ATM offerings. Candidates with experience advising technology and life sciences companies are highly encouraged to apply.

Duties:

  • Advise public companies on:

    • Ongoing SEC reporting obligations

    • Corporate governance and disclosure practices

    • Compliance with Nasdaq and NYSE rules

  • Represent issuers and underwriters in:

    • Initial Public Offerings (IPOs)

    • Follow-on equity and debt offerings

    • Private Investments in Public Entities (PIPEs)

    • At-the-market (ATM) offerings

  • Provide strategic counsel on regulatory and transactional matters

  • Address day-to-day legal issues for public company clients

  • Work with companies in the technology and life sciences sectors

Requirements:

  • 4–6 years of experience in capital markets and public company advisory

  • Substantial familiarity with securities law, corporate governance, and SEC compliance

  • Proven ability to manage transactional matters independently or in collaboration with a team

  • Experience advising high-growth or publicly traded companies

Education:

  • Juris Doctor (.) degree from an accredited . law school

Certifications:

  • Active bar membership in at least one . jurisdiction

  • Must meet bar admission requirements for the jurisdiction of the office location

Skills:

  • Strong command of federal securities laws and exchange regulations

  • Excellent legal drafting, issue-spotting, and analytical skills

  • Strong communication and relationship-building abilities
