Job Title: Senior Counsel, Corporate
Job Responsibilities:
The Senior Counsel, Corporate at the company plays a critical role in facilitating growth and mitigating risks through support of the corporate function. Key responsibilities include:
- Leading the M&A function for the legal team and fostering growth and expansion through acquisitions.
- Developing strategy and structuring for critical strategic transactions and negotiating alongside Corporate Development on behalf of the business.
- Managing risk by negotiating principal deal-related documents.
- Realizing efficiencies through leading outside counsel and cross-functional diligence teams.
- Advising business leaders on legal and strategic risks and proposing business-oriented solutions.
- Working with integrations counsel, the Integrations Management Office, and cross-functional teams to develop realistic integration plans and support post-closing matters.
- Assisting the Corporate Legal team on various corporate matters, including entity management, investor relations, corporate governance, and securities regulations.
- Owning other special projects and processes as necessary or desired.
Education and Experience Information:
Candidates for the Senior Counsel, Corporate position should meet the following educational and experience requirements:
- Possession of a Juris Doctor degree from an accredited law school.
- Active membership in good standing with a US state bar.
- A minimum of 7 years of corporate M&A experience.
- Expertise in the M&A process from beginning to post-closing issues.
- Comprehensive understanding of the key strategic risks and opportunities of tech M&A.
- Mastery of key negotiation points and market positions in the tech industry.

- Proactive and self-starting approach on high-impact projects.
- Strong curiosity about all aspects of a technology company.
- Resourcefulness in seeking out and finding accurate and relevant information.

Salary Information:
The annualized base salary range for the Senior Counsel, Corporate position in the United States is $190, to $284,. The position may also be eligible for bonuses, benefits, or related incentives. While this range reflects the minimum and maximum value for new hire salaries across all US locations, the offer for the successful candidate will be based on job-related capabilities, applicable experience, and other factors such as work location. The compensation details listed reflect the base salary only and do not include bonuses, benefits, or related incentives.
