Job Title: Senior Counsel, Corporate and Commercial
Job Responsibilities:
The Senior Counsel, Corporate and Commercial, is a pivotal role within the Company's legal department, tasked with a variety of responsibilities that ensure the effective management and negotiation of vendor and commercial contracts. The role entails:
- Serving as the primary legal resource for reviewing and negotiating all vendor and commercial contracts, ensuring adherence to the Company’s contract review policies and procedures.
- Drafting, reviewing, and finalizing agreements to ensure compliance with Company policies and legal requirements.
- Managing the contract lifecycle, which includes cataloguing and tracking contracts.
- Providing legal support for the Company’s third-party management program, especially in reviewing and negotiating management agreements with existing and potential clients.
- Offering advice and guidance to the third-party team regarding ongoing relationships, including insights on contractual rights and obligations and negotiating amendments and terminations.
- Supporting the Company’s Orange Door Insurance Program and other ancillary insurance operations, and coordinating insurance considerations between the Company’s risk management and third-party management programs.
- Assisting with the Company’s trademark, intellectual property, and brand protection programs.
- Providing legal support on strategic projects, which may include the development of new programs and services, acquisitions/M&A support, and more.
- Identifying and navigating legal issues while fostering strong internal relationships through a collaborative business-focused approach.
- Managing outside counsel to achieve optimal efficiencies, outcomes, and value for the Company.
Education and Experience Information:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing of the CA or TX bar or eligibility for registered in-house counsel status in TX.
- A minimum of six years of experience in corporate and commercial law.
- Foundational law firm training is required, with prior in-house experience preferred.
- Experience with Real Estate Investment Trusts (REITs) is advantageous but not mandatory.
Skills:
- Extensive experience in contract negotiation and management.
- Familiarity with third-party management programs, privacy, trademarks/intellectual property, insurance, or marketing is a plus.
- Strong analytical and problem-solving skills.
- Excellent written and verbal communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Proficiency in managing multiple tasks and deadlines.
- Strong interpersonal and relationship-building skills with the ability to influence and counsel across all levels of the organization.
- Proficiency in legal research tools and MS Office Suite.
- Demonstrated ability to handle sensitive and confidential information with discretion.
