Job Title: Contract Specialist (Hybrid position)

Job Responsibilities:
The Contract Specialist at a reputed firm plays a critical role in ensuring that all contracts and purchases meet the organization’s standards, specifically focusing on IT hardware, systems, services, and software. The successful candidate will:

- Exhibit a high level of competency in IT contracts, consistently and thoroughly negotiating hardware, software, Master License Agreements (MLA), Software as a Service (SaaS), and other agreements.
- Review, draft, and negotiate contract language to address deviations from standard contracting positions and memorialize deal-specific terms and conditions in the contract.
- Execute the contracts management processes to ensure reviews of Master Service Agreements, amendments, Business Associate Agreements (BAAs), etc., are thorough and executed timely following the organization’s standards.
- Review incoming contract review requests for completeness and accuracy.
- Serve as a primary point of contact for input on contractual language from internal stakeholders and external vendors.
- Coordinate the review of proposed contract changes with the appropriate corporate function or subject matter expert, such as legal, compliance, risk management, and strategic sourcing.

Education and Experience Information:
Minimum Qualifications:
- A college degree and/or a minimum of 3 years of relevant work experience or an equivalent combination is required.
- A paralegal certificate is helpful but not required.
- At least 3 years of contracts experience, including reviewing, structuring, drafting, and negotiating a variety of commercial agreements, including software licensing, professional services, SaaS, and other complex commercial agreements in a corporate environment.
- Excellent working knowledge of contract law and legal concepts such as Limitations of Liability, Indemnification, Warranties, Termination, Intellectual Property, and Confidentiality, including data security.
- Effective communication of contract risk associated with certain arrangements with all stakeholders, including C-Suite executives.
- Ability to identify, research, and resolve problems as well as follow through on assignments with minimum direction.
- Ability to work in a fast-paced environment with the demonstrated ability to successfully work on multiple projects in parallel.
- Excellent written and verbal communication skills.

- Self-starter who understands executing with urgency and the ability to comfortably work in an intensely deadline-oriented environment, including being able to re-prioritize quickly and frequently.

Salary Information:
The reputed firm provides a salary range to comply with the New York state Law on Salary Transparency in Job Advertisements. The salary range for the Contract Specialist role is $81, – $120, annually. Actual salaries depend on a variety of factors, including experience, specialty, education, and hospital need. The salary range or contractual rate listed does not include bonuses/incentives, differential pay, or other forms of compensation or benefits.
