Job Title:
Counsel, Securities and Governance

Job Responsibilities:
The Counsel, Securities and Governance is responsible for supporting the Company's general corporate law matters with a primary focus on securities and corporate governance. The role encompasses a variety of duties including:

- Supporting the preparation of the Company's SEC filings such as Forms 8-K, 10-Q, 10-K, Section 16 filings, proxy statements, and other related disclosure documents.
- Assisting in the management of compliance with various Company policies and governance processes, notably the administration of the Company's insider trading policy.
- Reviewing external communications, including earnings releases, investor presentations, marketing materials, and content on the Company's website.
- Advising on securities law, and ensuring compliance with SEC and NYSE rules and regulations, along with other public company compliance and reporting activities.
- Assisting in the review and preparation of Board materials, including drafting resolutions and minutes.
- Supporting finance and capital markets transactions, including debt or equity transactions.
- Supporting ESG-related disclosures.
- Providing guidance on the maintenance, organization, and governance of the Company's global subsidiaries.
- Collaborating with and providing guidance to other teams in the Law Department and internal business partners (such as tax, treasury, executive compensation, investor relations, and communications) on matters related to securities and general corporate governance.
- Monitoring and maintaining awareness of pending regulations and developments relevant to the Company's business interests, particularly those related to corporate governance and public company matters.
- Providing legal support on corporate transactions, such as internal restructurings, mergers and acquisitions (M&A), joint ventures, and real estate transactions, as assigned.

Education and Experience Information:
- A Bachelor's degree from an accredited institution and a Juris Doctor (JD) degree from an accredited law school are required.
- The candidate must be admitted to practice law and be a member of the bar in good standing.
- A minimum of 3 years of relevant experience with securities, corporate governance, and corporate finance matters is required.
- Experience in a publicly-traded company legal department or a top-tier law firm is preferred.

Salary Information:
At the Company, the aim is to provide compensation and benefits that attract, engage, and retain the best talent. This includes competitive pay and a variety of benefit programs for eligible employees. The expected annual salary range for this role is $158, - $232,. This role is also eligible for a variable incentive program. It is important to note that the salary information provided is a general guideline only.
