Job Title: Senior Legal Counsel
Job Responsibilities:
The role of Senior Legal Counsel involves supporting the Rail Infrastructure business within the company. The candidate will be responsible for the strategic management of contracts and handling disputes that may arise in connection with those contracts. Key responsibilities include providing legal advice and approvals during public procurements, contract negotiations, and project execution. The role also requires drafting claims, position papers, and other initiating legal documents. The candidate must be able to explain complex legal topics to business partners and drive potential issues to a consensus decision. Other responsibilities include:
- Analyzing, evaluating, and resolving diverse matters with government agencies, commercial customers, partners, suppliers, and subcontractors.
- Identifying and assessing contractual risks, opportunities, and requirements and communicating them effectively.
- Ensuring that all contracts accurately reflect business objectives and comply with state and local laws and regulatory requirements.
- Overseeing contract negotiation, drafting, and management to protect the company’s interests, particularly in complex turnkey/design-build projects.
- Cooperating with the project management team to define the contract/legal strategy for projects.
- Preparing contract concepts and defense strategies and executing project-related claim opportunities.
- Consulting with management and drafting official correspondence toward public owners and suppliers/subcontractors in a timely, clear, and persuasive manner.
- Monitoring contract conditions and events, including deadlines, milestones, and contract-related correspondence.
- Identifying claim possibilities and communicating them along with supporting arguments and documentation.
- Defending against external claims from clients, partners, suppliers, and subcontractors by presenting relevant facts and documentation.
- Preparing for and participating in claim negotiations and pre-litigation matters with project management.
- Providing thoughtful and clear legal counsel and guidance on legal matters and the legal implications of company activities, including regulatory compliance matters.
- Conducting legal research and writing and providing ongoing legal support within the territory.
- Developing and delivering legal/compliance training, coaching team members, and working with executives to ensure adherence to corporate policies and guidelines.
- Controlling all claim-relevant issues and data administration in the project to control and report progress and events to relevant partners.
- Managing litigation docket and providing oversight to outside counsel on ongoing litigations and dispute resolution processes.
- Driving collaboration across subject matter experts to deliver end-to-end outcomes.
- Enabling a culture of transparency, continuous improvement, business-oriented decision-making, collaboration, and informed risk-taking.
Education and Experience Information:
The candidate must possess a law degree with relevant experience in public infrastructure and governmental contracts. A JD and admission/licensed to practice law in Pennsylvania is required. The candidate should have a minimum of ten (10) years of practical work experience in commercial transactions and/or litigation. Other qualifications include:
- Excellent legal writing, verbal communication, and interpersonal skills to participate in negotiations with clients, partners, suppliers, and subcontractors and prepare complex contracts.
- Strong negotiation skills and experience in developing risk mitigation and settlement strategies and negotiating and finalizing settlement agreements.
- Ability to deliver high-quality legal documents within tight timeframes and manage multiple ongoing assignments simultaneously.
- Specialized skills and proficiency with project/program controls software and web-based program management systems.
- Familiarity with regulated industries is highly desirable.
Salary Information:
The base salary range for this position in New York City, NY, is $274,100 to $322,400, with an annual incentive target of 25% of the base salary. The salary may vary depending on the budget and the candidate's experience, knowledge, skills, and qualifications.
