Job Title: Commercial Counsel (US Remote)
Job Responsibilities:
The Commercial Counsel at the company is tasked with providing legal advice, guidance, and expertise on routine transactional agreements and legal matters. The role involves making decisions that could have significant impacts on the company’s revenue and risk management. Key responsibilities include:
- Drafting, reviewing, editing, finalizing, and negotiating routine transactional agreements to meet business and legal requirements. These agreements include sales/supply and reseller/distribution agreements, end user license agreements, professional services agreements, hosting agreements, Software as a Service (SaaS) and subscription agreements, and statements of work (SOWs). The role may also involve working on telecom agreements, maintenance agreements, consulting and advisory agreements, outsourcing, and other technology agreements.
- Managing contract documentation and approval flows to ensure consistency with internal processes.
- Assisting with contract disputes by understanding the issues, researching and providing guidance on solutions, and drafting settlement agreements.
- Researching and responding to general legal inquiries from the business related to contract disputes, regulatory issues, and new business initiatives.
- Providing counsel and guidance to accomplish the overall business objectives of the company while ensuring compliance with applicable laws and regulations and avoiding unacceptable risks. This includes supporting business and product development processes by providing key inputs and advice on legal risks and issues, prioritizing risks, and ensuring compliance with government and customer-imposed requirements.
- Maintaining, revising, and updating contract templates.
- Proactively developing and maintaining technical knowledge in specialized areas, staying up-to-date on current trends and best practices.
- Working under general supervision of a manager and exercising reasonable judgment to determine when to escalate complex matters or decisions.
Education and Experience Information:
The position requires a Juris Doctor Degree and at least 2 years of experience in corporate transactional, contracts negotiation, and/or commercial transaction experience. The candidate must be admitted to the Bar of at least one state or admitted to practice in at least one jurisdiction if an international equivalent. Legal authorization to work in the . indefinitely is required, and employer work permit sponsorship is not available for this position.
Desired Skills/Qualifications:
- Experience in corporate transactional, contracts negotiation, and commercial transaction, preferably with a background in technology matters, including software licensing, subscription and hosted environments, telecom, government contracts, and/or intellectual property.
- Experience working with legal policies and procedures, with the ability to identify potential legal issues.
- A pragmatic and flexible approach to legal matters, with the ability to recommend solutions that enable company success while protecting its legacy and future.
- Strong negotiation, consultation, and analytical skills, along with excellent problem-solving, sound judgment, and decision-making skills.
- Strong interpersonal, presentation, and communication skills (both written and verbal).
- Ability to participate and collaborate in meetings with customers, vendors, attorneys, management, and other third parties regarding negotiation of agreements and general problem-solving.
- Business acumen, with the ability to understand the company’s business objectives and anticipate legal issues that could arise.
- Well organized, detail-oriented, and adept in a fast-paced environment.
- Required to work with the highest level of ethics and discretion.
- Ability to drive results and execution, identify issues, and raise them to resolve problems or improve the client experience.
- Strategic thinking, aligning work with broader business strategies and goals, and staying aware of business implications of market and industry trends.
- Ability to collaborate effectively, ensuring understanding of how one’s role fits into the bigger picture and working with others to advance individual and team goals.
Salary Information:
The target base salary range for this position is $85,000 - $110,000 USD. Pay within this range varies and depends on job-related knowledge, skills, and experience. The actual offer will be based on the individual candidate.
