A leading law firm is seeking an experienced associate to join its Finance team in Houston, specializing in Restructuring & Special Situations Finance. The ideal candidate will have extensive experience representing creditors or borrowers in connection with liability management transactions, DIP financings, bankruptcy exit financings, and special situations financings. The position offers the opportunity to collaborate with the firm’s Global Finance team and Business Restructuring & Reorganization team, working on high-profile, top-of-the-capital-structure representations involving hedge funds, CLOs, private equity funds, and other financial institutions in both Chapter 11 cases and out-of-court restructurings.

Duties

  • Represent creditors or borrowers in liability management transactions, DIP financings, bankruptcy exit financings, and special situations financings.
  • Work closely with the Global Finance team and the Business Restructuring & Reorganization team.
  • Handle top-of-the-capital-structure representations for clients.
  • Advise hedge funds, CLOs, private equity funds, and other financial institutions in Chapter 11 cases and out-of-court restructurings.
  • Draft and review transaction documents, including financing agreements and legal contracts.
  • Lead negotiations and manage relationships with clients.
  • Provide strategic legal advice on complex financial restructuring matters.

Requirements

  • 5-8 years of experience in restructuring and special situations finance (for associates from law school class years 2017 to 2020).
  • Experience representing creditors or borrowers in Chapter 11 cases and out-of-court restructurings.
  • Strong experience in liability management, DIP financings, and bankruptcy exit financings.
  • Ability to manage complex legal matters and high-pressure transactions.
  • Excellent communication, negotiation, and problem-solving abilities.
  • Strong academic background and commitment to professional growth.

Education

  • . (Juris Doctor) from an accredited law school.

Certifications

  • Admission to the State Bar (Texas) required.
