Job Summary:
The Asset Management Group within the Corporate Department is actively seeking Private Funds Associates with 3 to 6 years of legal experience. The primary responsibility of Private Funds Attorneys is to advise clients on the formation, structuring, and operation of private investment funds. This position entails drafting and negotiating fund documents, ensuring regulatory compliance, and providing ongoing legal support to fund managers and investors. Attorneys in this role will collaborate closely with clients to understand their business objectives and offer tailored legal solutions.
Job Responsibilities:
Associates in this role will be expected to:
- Advise clients on the formation and structuring of private investment funds.
- Draft and negotiate fund documents, including limited partnership agreements, subscription agreements, private placement memoranda, and side letters.
- Ensure compliance with securities laws and other regulatory requirements.
- Provide ongoing legal support to fund managers and investors.
- Conduct due diligence and review investment documents.
- Assist clients with fund marketing and investor relations.
- Advise on secondary transactions and fund restructurings.
- Stay current with changes in laws and regulations affecting private funds.
- Collaborate with other attorneys and professionals within the law firm to provide comprehensive legal services.
Education and Experience Information:
Candidates must have:
- 3-6 years of legal experience working on private investment funds matters, preferably with experience at a national or global law firm.
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the bar in the relevant jurisdiction where the candidate is applying.
Required Skills/Abilities:
- Strong knowledge of securities laws and regulations.
- Excellent drafting and negotiation skills related to the formation of private investment funds.
- Willingness to self-manage multiple, time-sensitive projects and actively coach junior associates.
- Strong analytical and problem-solving skills.
- Excellent communication and interpersonal skills.
- Ability to work independently and as part of a team.
Salary Information:
In accordance with New York’s Pay Transparency Law, the anticipated pay range for this position is $260,000 - $390,000, which represents the law firm's good faith and reasonable estimate of the starting salary range at the time of posting. Additionally, this role is eligible for a discretionary bonus.
