Job Title:
Associate General Counsel, Procurement – Remote

Job Responsibilities:
As an Associate General Counsel, Procurement, you will be part of a corporate legal team responsible for providing transactional and strategic legal support for the company's Enterprise Procurement team. Your duties will include:
- Negotiating and drafting complex agreements such as master services agreements, business process outsourcing agreements, equipment purchase and lease agreements, software license agreements, software as a service/cloud computing agreements, and data licenses.
- Interpreting vendor agreements and advising business leaders and stakeholders on associated rights, risks, remedies, and obligations.
- Providing intellectual property and information technology diligence support and deal document negotiation for mergers and acquisitions transactions.
- Creating and maintaining template agreements and related negotiation support tools such as playbooks and checklists.
- Developing and delivering training and support on current legal issues and developments.
- Managing and resolving pre-litigation disputes with vendors.

Education and Experience Information:
- Juris Doctorate degree is required.
- A minimum of 5 years of sophisticated commercial/transactional legal experience is required.
- At least 5 years of relevant experience is needed, including negotiation and drafting of sophisticated vendor/supplier contracts, clinical procurement, pilot/proof of concept agreements, business process outsourcing agreements, information technology/licensing negotiations, advertising, marketing, human resources, and other commercial ad hoc agreements.
- Current admission to a . state bar is required, with admission to the Minnesota bar within one year of accepting the offer of employment if located in Minnesota.

Preferred Qualifications:
- Experience in a major law firm is preferred.
- Ability to manage and prioritize multiple projects in a fast-paced environment while driving them to a successful resolution is preferred.
- Experience in meeting client needs and building trust and confidence across a broad client base, including senior executives, is preferred.
- Experience in advocating and problem-solving in real-time while negotiating with sophisticated vendors/opposing counsel to obtain desired outcomes and meet regulatory requirements.
- Experience working independently yet collaboratively in a team setting with other attorneys, subject matter experts, and business partners of all levels is preferred.
- Experience working in a matrixed environment and in the healthcare or other highly regulated industries is an advantage.
- Proficiency with Word, PowerPoint, Excel, and other standard tools is preferred.
- Minnesota location is preferred.

Salary Information:
The salary for the Associate General Counsel, Procurement role ranges from $132,200 to $226,600 annually based on full-time employment. Pay is determined by several factors, including local labor markets, education, work experience, and certifications. In addition to the salary, a comprehensive benefits package, incentive and recognition programs, equity stock purchase, and 401k contribution are offered, subject to eligibility requirements.
