Job Title: ERISA Fiduciary (Title I) Attorney

Job Responsibilities:
- Advising private funds and investment management clients on "plan asset" status, including understanding and applying the 25% test and VCOC/REOC rules.
- Evaluating transactions for compliance with REOC and VCOC standards, and drafting necessary opinions and certificates to ensure adherence.
- Reviewing and drafting ERISA provisions for private fund documents such as private placement memoranda, limited partnership agreements, subscription agreements, and side letters.
- Providing guidance to investment advisory firms, hedge fund sponsors, and other investment management clients on fiduciary requirements and prohibited transaction restrictions under Title I of ERISA. This includes advising on the availability of statutory or administrative exemptions, such as QPAM.
- Offering advice to investment industry clients on compliance with Department of Labor (DOL) and Internal Revenue Service (IRS) regulations, handling audits, applications, and disputes.
- Consulting with investment advisory firms regarding mergers and acquisitions (M&A) transactions that involve their ERISA clients.
- Advising pension fund trustees and other fiduciaries on matters related to Title I.
- Providing expertise to pension fund clients concerning the ERISA aspects of private fund documents and investments.
- Advising investment banks, investment managers, investors, and other parties involved in securitization matters, with a strong focus on CLO transactions. This includes addressing ERISA disclosures in capital markets securities offerings, such as the 25% test and prohibited transactions.

Education and Experience Information:
- Candidates must possess outstanding academic credentials.
- Law firm experience is required.
- Candidates must be admitted to practice and be in good standing in the jurisdiction to which they are applying.
- A minimum of 7 years of experience with Title I of ERISA is required.

Salary Information:
- The salary wage range for this position is expected to be between $450,000 and $500,000 annually.
- The actual pay wage may vary based on experience or other relevant factors.
