As a Legal Counsel at **Members Only**, you will have the opportunity to use your legal expertise to support our growing organization. This role will involve negotiating contracts, providing legal support to various departments, and managing outside counsel for litigation claims. We are looking for someone with strong contract drafting skills and general corporate experience, as well as a JD and license to practice law in MN. In this role, you will have the chance to:

Be a part of our growing team within our Systems Protection business segment.

Negotiate a wide variety of third-party contracts to balance risk obligations.

Collaborate with cross-functional teams to ensure alignment with organizational goals and compliance with legal requirements and company policies.

Support the enterprise legal team as requested including with respect to M&A/strategic transactions.

Provide direct legal support to functional teams, including finance, treasury, growth, risk management, information technology, real estate, supply, human resources and environmental, health and safety.

Manage outside counsel and responsive internal actions for litigation claims.

Develop, review, and negotiate construction and other long-term project-based contracts.

Review enterprise contracts, focusing on software, IT-applications, cyber, and data-related agreements.

Assist in the development, negotiation, and execution of RFPs, third party nondisclosure agreements, R&D agreements, leasing agreements, supplier agreements, services agreements, sales agreements, and other product agreements.

In order to be successful in this role, you should have:

JD from an accredited law school of recognized standing and license to practice law in MN.

5+ years of corporate law experience in-house and/or private practice preferred.

Prior intellectual property, cybersecurity, and data privacy negotiation experience preferred.

Prior government contracting experience preferred.

Ability to negotiate a wide variety of third-party contracts to balance risk obligations.

Foreign language skills and/or international experience a plus.
