Job Title: Senior Lead Counsel 2 - Corporate Law - C15/DIR
Job Responsibilities:
The Senior Lead Counsel 2, specializing in M&A and Strategic Investments Legal, is a senior-level position with significant responsibility and authority. The primary role is to serve as a subject matter expert and key legal advisor to business stakeholders, functional partners, and the Legal Management Committee. The overall objective is to provide legal support, advice, and guidance across M&A and company Businesses and Functions. Specific responsibilities include:
- Acting as a partner and advisor on mergers, acquisitions, divestitures (including sell-downs or spin-offs), strategic joint ventures, and strategic investments involving businesses or assets integrated into the company's management and financial reporting structure.
- Providing preventative and proactive legal advice on M&A transactions, identifying potential risks.
- Serving as a subject matter expert, influencing practices within the company and the broader legal/financial services industry concerning M&A.
- Being a partner to senior management, key regional management, or primary advisor to senior business stakeholders, functional partners (., Risk, Compliance, Finance, CAO, CCO), and the Legal Management Council on Corporate Law issues.
- Participating as a key stakeholder in senior forums covering strategy, risk management, corporate governance, franchise reputation, and addressing high-risk issues.
- Providing critical inputs and sharing responsibilities with senior management to determine and execute future strategies for the organization.
- Exercising operational responsibility for planning, finances/budgeting, and execution of end results.
- Achieving results by leveraging networks, connections, and colleagues.
- Leading workstreams to analyze the implications of emerging and existing laws impacting the geography.
- Actively participating in risk review and control forums, demonstrating awareness of issues that could cause financial, reputational, or legal consequences.
- Negotiating and coordinating complex issues with senior leaders inside and outside the Legal Department to advise, influence strategy, and make key decisions within the area of responsibility.
- Proactively identifying, evaluating, and managing legal, regulatory, and reputational risks by collaborating with ICRM & Risk, following legal developments, participating in internal projects, and performing related tasks.
- Assessing risk when business decisions are made, considering the firm's reputation, and safeguarding the company, its clients, and assets by driving compliance with laws, rules, and regulations, adhering to policies, and applying ethical judgment regarding behavior, conduct, and business practices.
Education and Experience Information:
- 15+ years of specific, relevant Corporate Law experience, with some experience in an in-house legal role in financial services.
- Juris Doctorate or equivalent law degree.
- Excellent leadership, interpersonal, organizational, and relationship management skills.
- Experience working with regulators/regulatory bodies is preferred.
- Proven ability to apply sound judgment while managing multiple assignments in a fast-paced environment.
- Knowledge and expertise in specific laws, rules, and regulations related to Corporate Law, staying abreast of the changing regulatory and legal environment, internal policies, and industry trends.
- Experience with complex deals, demonstrated ability to analyze issues, and develop recommendations.
- Effective communication and negotiation skills with the ability to build and maintain trusted relationships.
- Bar license in good standing to practice law.
Salary Information:
The primary location for this full-time role is in New York, New York, United States. The full-time salary range is $170, - $300,. In addition to salary, the company's offerings may include discretionary and formulaic incentive and retention awards.
