Job Title: Associate General Counsel

Job Responsibilities:
- Provide legal counsel and guidance on complex real estate and development matters, ensuring compliance with federal and state statutory and regulatory requirements.
- Offer legal advice on construction and procurement matters, focusing on mitigating potential claims.
- Assist the Deputy General Counsel in delivering legal services and handle special projects as assigned.
- Coordinate with clients and other company lawyers to ensure effective operations and achievement of organizational objectives in line with policies.
- Identify potential legal issues related to business practices and policies, advising client/management accordingly.
- Review and interpret laws and regulations to provide accurate legal guidance.
- Oversee and manage financial aspects of outside counsel in accordance with department guidelines.
- Engage in the drafting and negotiation of various contracts including real estate contracts, easements, leases, deeds, development agreements, billboard agreements, and license agreements.
- Provide legal services in the ongoing administration of agreements, including real estate litigation, advice, and general contract administration.

Education and Experience Information:
- Juris Doctor from an accredited law school and admission to and current good standing in a state or the District of Columbia bar.
- Relevant legal experience in providing legal advice and guidance on real estate, development, and related matters in a corporate, governmental, or law firm environment.
- Knowledge and experience in governmental contracting at the state or federal level.
- Demonstrated experience in developing, implementing, and administering internal corporate programs.
- Ability to apply legal and risk analysis to factual circumstances and exercise sound judgment.
- Capable of conveying clear and accurate legal advice and being solution-oriented to assist clients in achieving business objectives.
- Proven ability to integrate organizational goals and objectives into work products and procedures.
- Strong legal writing skills to describe key facts, analyze legal issues, and present advice clearly and succinctly.
- Experience in budget development, analysis, and monitoring functional areas.
- Ability to manage a large workload of varying complexity efficiently and independently.
- Capable of providing strategic and day-to-day direction to colleagues at all levels and working productively with them.
- Skilled in developing and maintaining relationships with individuals at all levels within and outside the organization.
- Proficient in oral and written communication with people at all levels on potentially sensitive or highly charged issues, facilitating understanding, and persuading and influencing others.
- Ability to respond to business leaders' and external customers' priorities, with experience in doing so.
- Experience in strategic thinking, planning, organizing, and implementation.
- Proficient in drafting memoranda setting forth legal advice.
- Experience in conducting training for business leaders on transaction-related matters and legal requirements.
- Proficient in using common office software (., Microsoft Outlook, Word, Excel, PowerPoint, Teams, Zoom, OneDrive).

Preferred Qualifications:
- 10 years of professional legal experience as an associate general counsel.
- General understanding of and experience with construction law, government contracts, large-scale public procurement, environmental law, and utilities law.
- Experience with the Americans with Disabilities Act and providing guidance on related issues.
- Experience in drafting, interpreting, and providing guidance on regulatory issues and legislative matters related to the company.

Salary Information:
The salary range for this position is $163,000-$211,140. Pay is based on factors including education, work experience, certifications, and internal equity. Depending on the employee’s worksite, the company may consider a geo-pay differential. Additional incentive and pay programs may be offered, including a short-term incentive bonus based on individual and company performance, and long-term incentive plan compensation. Work Environment:
- Physical demands include frequent use of a computer keyboard and monitor for tasks such as creating and reviewing documents, analyzing information, and emailing.
- Tasks may require sitting for extended periods.
- Mental demands include the need to communicate, comprehend, and respond to verbal statements and instructions, both orally and in writing.
- The role requires acquiring new knowledge, skills, and tasks to maintain effectiveness.
- The work environment is fast-paced with significant time-sensitive drafting work, frequently changing priorities, and time-pressed situations requiring considered but fast decisions.

Communications and Interpersonal Skills:
Must have excellent oral and written communication skills.
