Job Title: Paralegal - . - Remote

Job Responsibilities:
- Support the in-house legal department of a global contract research organization.
- Create and finalize organizational documents such as powers of attorney, board resolutions, and articles of incorporation.
- Manage and update the database of global legal entity corporate documents.
- Respond to requests from third parties, including regulatory agencies, banking institutions, and auditors, by preparing response letters and collecting relevant corporate documentation.
- Collaborate with in-house counsel, finance, administration, HR, global outside counsel, and other third-party vendors to create, gather, update, and provide corporate documentation as needed to support the business.
- Assist in formatting and drafting templates, contracts, and agreements, including confidentiality agreements and employment agreements.
- Review and negotiate confidentiality agreements.
- Administer the execution and delivery of contracts to internal stakeholders and outside parties, and file them in the appropriate organizational filing structure.
- Manage the legal department's online document filing structure.
- Oversee the filing, destruction, and retention of hard copy legal documents in accordance with the company's data retention policy.
- Respond to requests for corporate information to support bids and proposals.
- Assist with ethics and compliance programs, and draft and update corporate policies and SOPs.
- Liaise with outside counsel and internal business partners to provide documentation and facilitate the registration process for trademarks, assist with name clearances, report on status, and manage renewals.
- Manage and update the global outside legal counsel database.
- Coordinate invoicing and payment administration for outside counsel and corporate filing expenses.

Education and Experience Information:
- A minimum of 3+ years of recent corporate paralegal experience working in a law firm on global matters or in a global corporate legal team setting is required.
- Completion of an accredited paralegal program or an equivalent combination of training and experience is necessary.
- A bachelor’s degree is strongly preferred.
- Immediate availability is required.
