Position Responsibilities:
- Serve as corporate and securities counsel or partner for M&A and general corporate transactions at a top-quality law firm.
- Provide legal advice and counsel to clients on a variety of corporate matters including mergers and acquisitions, corporate governance, securities law compliance, and general corporate transactions.
- Draft and negotiate various corporate and securities documents, including stock purchase agreements, asset purchase agreements, merger agreements, and joint venture agreements.
- Conduct due diligence and assist with transactional closings.
- Advise clients on regulatory compliance and assist with SEC filings.
- Collaborate with and provide guidance to junior associates and support staff.
- Develop and maintain relationships with clients and participate in business development activities.
Qualifications:
- Juris Doctorate degree from an accredited law school.
- Active member of the Nevada State Bar or eligible for admission.
- 7+ years of experience in corporate and securities law, with a focus on mergers and acquisitions and general corporate transactions.
- Strong understanding of corporate governance and securities laws.
- Excellent communication and drafting skills.
- Ability to manage multiple projects and priorities in a fast-paced environment.
- Proven track record of providing exceptional legal counsel and building client relationships.
- Experience working in a top-quality law firm or in-house legal department is preferred.
