Job Title: Associate General Counsel
Job Responsibilities:
The Associate General Counsel at the company will be responsible for supporting the review, drafting, and negotiation of research agreements and facilitating research activities. The key responsibilities include:
- Independently drafting, reviewing, negotiating, and managing agreements related to research, including agreements with industry partners and other academic institutions. This includes non-disclosure agreements, material transfer agreements, data use agreements, research collaboration agreements, compassionate use agreements, research services agreements, registry participation agreements, memoranda of understanding, sponsored agreements, subaward agreements, and any other research-related agreements.
- Assisting with the development and review of template contracts and related documents like intake forms for research.
- Proactively updating and developing strong working relationships with investigators and other internal stakeholders.
- Providing legal advice and guidance on compliance with federal, state, and local regulations governing research activities, including human subjects protection, financial conflicts of interest in research, and export control.
- Conducting legal research on emerging legal issues impacting research.
- Assisting in the development, interpretation, and implementation of research-related hospital policies and procedures to ensure compliance with legal requirements and best practices.
- Serving as a liaison between the company and external stakeholders, including industry partners, sponsors, supporters of research, tax-exempt entities, and legal counsel, to negotiate and facilitate research contracting and resolve legal disputes.
- Serving as a liaison between the Office of General Counsel and internal stakeholders to facilitate research, including the Office of Research Administration, the Office of Sponsored Programs, the company Innovations Institute, and the company Research Institute.
- Participating in cross-departmental research initiatives and partnerships to address legal and regulatory challenges.
- Providing strategic guidance and support to leadership on legal matters impacting research operations, including risk management, contract negotiations, and dispute resolution.
- Assisting with conflict-of-interest reviews for research activity.
- Assisting with the development and advising on the company's export control compliance program to ensure compliance with . export control laws and regulations, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR).
- Providing support or presentations to various executive-level committees to support research, including committees reviewing proposed data transfers and addressing intradepartmental issues in research.
This position is full-time and presently offered under a hybrid model, with three set days in the office (Tuesday through Thursday) and two days remote (Mondays and Fridays). The hybrid program is a pilot program subject to change.
Education and Experience Information:
The ideal candidate will possess an advanced degree (JD) and have a minimum of seven years of health care transactional and regulatory experience. The candidate may have spent their career in private practice with a well-regarded regional, national, or international law firm with an active health care department or service group. Alternatively, the candidate may have a minimum of two years in such private practice and have since moved in-house with a health care organization. Experience with non-profit institutions and drafting, reviewing, and negotiating substantive research contracts and other research-related agreements, preferably for an academic or non-profit institution in a high-volume environment, is preferred. The candidate should demonstrate knowledge of contract law, intellectual property issues, and research transactions, along with excellent communication skills, presence, and judgment.
Salary Information:
The base pay scale for this position is $175, - $267,. In addition, this position will be eligible for additional benefits consistent with the role. The salary for the selected finalist will be determined based on various factors, including but not limited to the scope of the role, level of experience, education, accomplishments, internal equity, budget, and subject to Fair Market Value evaluation. The hiring range listed is a good faith determination of potential compensation at the time of this job advertisement and may be modified in the future.
