Job Title: Corporate Paralegal II Job Responsibilities: The Corporate Paralegal II is responsible for providing support to a team of corporate attorneys and legal department staff, assisting in legal services on a wide variety of corporate matters. The key responsibilities include: - Managing the Company’s Administration of Contracts: - Work with attorneys in the preparation, review, negotiation, drafting, and approval of contracts and other agreements. - Maintain an organized contract intake process, ensuring all necessary information for contract review is obtained from business stakeholders. - Establish and maintain relationships with internal stakeholders and external parties by serving as a point of contact for contract requests. - Evaluate contract requests and provide support in the development, documentation, and implementation of contracting strategies and procedures. - Manage the contract management and record-keeping system. - Assist with maintaining and updating the company’s contract templates. - Maintain internal controls for appropriate approvals of contracts. - Corporate Governance: - Maintain and support corporate governance processes, including general record-keeping, presentations, resolutions, minutes, and other materials, as well as assist with the electronic board portal. - Maintain and assist with corporate governance and compliance matters for international and domestic subsidiaries. - Assist in responding to requests for information and documents from internal and external auditors, regulators, partners, and other stakeholders, including licensing and “KYC” requests. - Maintain corporate records. - Other Duties: - Support special projects in the legal department as needed, including research, organization, and project management. Education and Experience Information: - An Associate's and/or Bachelor's degree. - 4+ years of experience as a paralegal or contract administrator in a law firm and/or corporate legal department. - Excellent organizational skills and the ability to manage multiple projects. - Strong analytical and problem-solving skills with the ability to formulate and present effective solutions. - Solid decision-making and project management skills; drive projects to completion. - Detail-oriented with strong communication skills. - A team player who is a quick learner and takes initiative. - Ability to work independently and as part of a team; eagerness and willingness to help others. - Ability to establish and maintain strong working relationships within the legal team, and with internal departments and outside parties. - Ability to exercise discretion with confidential information. - Proficiency in Word and Outlook and familiarity with Excel and PowerPoint required. - A paralegal certificate is preferred but not required. CA Notary Public preferred but not required. Salary Information: Starting Compensation Hourly Rate: - (Amount based on office location, relevant experience, skills, and competencies).
