Job Title: Paralegal - Corporate EC/VC (Emerging Companies & Venture Capital)
Job Responsibilities:
The Paralegal in the Emerging Company and Venture Capital (ECVC) practice within the department will support multiple Corporate Attorney Teams, focusing on emerging companies and VC/PE investors. The role encompasses a range of responsibilities, including:
- Company Formation & Management: Handle company formations, manage cap tables, and prepare related documents.
- Corporate Records Maintenance: Maintain stock ledgers, option plans, and transaction records.
- Due Diligence Support: Assist clients with due diligence requests using technology platforms.
- Transaction Management: Prepare closing checklists and manage closings for financings and M&A transactions.
- Filing Coordination: Interface with filing services and manage corporate filings.
- Document Preparation: Draft ancillary documents, manage signature pages, and compile executed documents.
- Legal Knowledge: Apply knowledge of Delaware corporate law and securities laws.
- Corporate M&A Transactional Duties:
- UCC Matters: Conduct lien searches, prepare summaries, and draft UCC financing statements.
- Organizational Documents: Order charters, good standing certificates, and organize documents in NetDoc’s.
- Draft and distribute resolutions and certificates.
- Original Collateral Resolutions & Certificates: Manage original securities and update cap tables.
- Signature Pages: Prepare and organize signature packets for execution.
- Closing Conditions: Review closing checklists and identify deliverables.
- Post-Closing Duties:
- Add executed documents to NetDoc’s, compile closing sets, and distribute originals to relevant parties.
Education and Experience Information:
- A strong background in providing corporate support to emerging companies and VC/PE investors, with experience in debt equity, SAFE financing, and M&A transactions is required.
- Bachelor’s degree and completion of a paralegal program of study, or clear demonstration of equivalent knowledge and skill in accordance with California requirements.
- 7+ years’ experience as a corporate Paralegal specializing in support of emerging growth companies and VC/PE investors, and their securities and capitalization work.
- Advanced proficiency in the use of Microsoft Office applications (Word, Excel, and Outlook) for the creation and editing of documents.
- Expert proficiency in cap table management software programs including Carta is required.
- Proficiency in the use of electronic signature applications (. DocuSign) and document retention databases (. Google Docs, Dropbox and other proprietary virtual data rooms).
- An ability to quickly adapt to new technologies and methods of client communication as needed.
- Ability to understand and follow work directions, make discretionary decisions, manage multiple priorities and respond to urgent requests with minimal supervision.
- Excellent proactive communication and interpersonal skills, including the ability to maintain effective working relationships and communicate verbally and in writing, with clients, firm members, and other business contacts.
- Exceptional client service skills, as well as the ability to handle stressful situations in a calm, composed manner.
- Ability to pay close attention to detail and be highly organized and accurate.
- Strong time and task management skills.
- Ability to work effectively and juggle multiple tasks in a team-oriented service environment.
Salary Information:
Washington State: The annualized salary range for this position in Washington is $106,000 to $136,000 ( hourly). Actual pay will be adjusted based on the candidate’s education, training, experience, and other job-related factors permitted by law. Full-time employees may be eligible for a bonus, health insurance with an optional HSA, long-term disability, dental insurance, vision care, telemedicine, and virtual short-term solution-based counseling services, life insurance, Healthcare and Dependent Care Flexible Spending Accounts, subsidized backup care and caregiving resources, 401(k), vacation, sick time, 11 paid holidays each year, and an employee assistance program. For full-time employees, the initial vacation benefit is 15 days per year and 11 days of sick leave per year, accrued bi-weekly. Additional voluntary programs include voluntary accident insurance, voluntary life, voluntary disability, voluntary long-term care, and pet insurance. Commuter and Transit programs are also available.
California: The annualized salary range for this position in Los Angeles is $102,000 to $132,000 ( hourly); and in San Francisco is $122,000 to $168,000 ( to hourly). Actual pay will be adjusted based on experience and other job-related factors permitted by law. Full-time employees may be eligible for a bonus, health insurance with an optional HSA, long-term disability, dental insurance, vision care, telemedicine, and virtual short-term solution-based counseling services, life insurance, Healthcare and Dependent Care Flexible Spending Accounts, subsidized backup care and caregiving resources, 401(k), vacation, sick time, and an employee assistance program.
