Job Title: Corporate Counsel
Job Responsibilities:
The Corporate Counsel at the company will lead a small legal department and manage a wide range of legal matters. Key responsibilities include:
- Drafting and negotiating a variety of agreements and documents such as inbound/outbound license agreements, product development agreements, consulting agreements, service provider agreements, distribution agreements, sponsorship agreements, and other commercial agreements.
- Drafting, reviewing, and updating documentation for cloud, hosted, and on-premises products and services, focusing on intellectual property, compliance, risk management, privacy, content regulation, and other legal issues.
- Providing training and education to internal teams to ensure conformity and consistency in applying legal policies and procedures related to licensing and service contracts, as well as other significant corporate transactions.
- Supporting intellectual property prosecution matters, including managing trademarks and patents.
- Supporting other general corporate matters, including privacy and special projects.
- Providing sound and practical legal advice as a key member of the team and participating in decision-making and strategy development to protect the company's assets and reputation.
Education and Experience Information:
- Juris Doctor degree from an American Bar Association accredited law school.
- Texas Bar admission in good standing is required.
- Experience working with high-growth software companies is highly preferred.
- Minimum of 10 years of relevant experience, including directly relevant software licensing experience.
- Experience at a major law firm is required, and prior in-house experience is preferred.
- The candidate must be a self-starter with a strong sense of urgency in providing appropriate counsel to internal stakeholders.
- Must possess sound judgment with the ability to resolve complicated matters while maintaining integrity and confidentiality.
- Excellent communication skills, both written and verbal, are required, along with strong presentation skills.
- Willingness to travel as needed.
- Detail-oriented without losing sight of broader strategic goals.
- Ability to manage several simultaneous projects under deadline pressure.
- Exceptional interpersonal skills, a commitment to professionalism, and a solid business acumen are necessary.
- Ability to interact comfortably with executives and senior management is essential.
