Job Title: Corporate Paralegal
Job Responsibilities:
The Corporate Paralegal is tasked with a variety of legal functions to support the global operations of the company. Key responsibilities include:
- Maintaining accurate and complete records and files within internal databases and gathering information from various sources.
- Conducting internal and external research to resolve legal questions under the guidance of lead counsel and other commercial counsel.
- Reviewing, revising, and preparing corporate governance documents with necessary oversight.
- Preparing, drafting, and maintaining legal templates, correspondence, policies, presentations, and other materials, and educating business partners on their usage.
- Assisting in the maintenance and organization of an up-to-date contract database and contributing to the development of the company’s contract lifecycle management.
- Drafting agreement-related letters, new contracts based on forms, and other related amendments or ancillary documents.
- Supporting compliance with rules and regulations related to privacy, data security, trade, and tariff regulations.
- Providing effective, comprehensive, and timely communication to clients on legal topics, using critical thinking and independent judgment to address client requests and inquiries.
- Managing and coordinating projects, driving solutions to meet project objectives, and providing project management support for crucial legal initiatives.
- Supporting the development and presentation of training materials within the legal department and company policies.
- Identifying opportunities for improvement in the legal function, proposing solutions, and raising issues with appropriate stakeholders.
- Collaborating with colleagues in the legal department and other functions within the company.
- Providing support to the broader legal team as needed.
Education and Experience Information:
- A Bachelor’s or Associate’s degree is required, although candidates actively working towards a degree will also be considered.
- A minimum of two years of work experience in a legal setting, such as private practice or corporate, is required.
- The role requires advanced problem-solving skills, flexibility, adaptability, and a passion for learning new things.
- Mastery of the Microsoft Office Suite, including advanced Excel skills, is essential.
- Familiarity with document management systems and legal research skills using legal databases such as PACER, Lexis, Bloomberg, or Westlaw is necessary.
- Experience with contract management systems or similar tools is preferred.
- High proficiency in spoken and written English is required, and proficiency in other languages such as Spanish, German, Czech, or Thai is a plus.
- The ability to tailor communications to various audiences, including colleagues of different cultures, is important.
- Exceptional attention to detail and the ability to independently prioritize, track, and manage a lengthy task list are crucial.
- Knowledge of patent and trademark matters, or the willingness to learn, is beneficial.
