Job Title: Dir Corporate Counsel
Job Responsibilities:
The Director, Corporate Counsel will be a key member of the Transactions Law Group, responsible for drafting, reviewing, negotiating, and providing strategic advice on various agreements across the company's business units. Key responsibilities include:
- Providing legal support for business transactions, including research collaboration agreements, master services agreements, consulting services agreements, license agreements, data use agreements, laboratory services agreements, and confidentiality agreements.
- Maintaining expertise in data privacy laws and advising colleagues and clients on developments.
- Supporting the Transactions Law team in negotiating and finalizing data privacy language in third-party agreements.
- Responding to contracting questions from both . and international parties.
- Managing updates to the data privacy contracting playbook and creating related tools and training materials.
- Managing office hours for internal business partners.
- Acting as a liaison with the Data Privacy Office on data privacy policy questions and approaches.
This role requires the ability to work independently, meet aggressive deadlines, and manage multiple matters while maintaining objectivity and strong partnerships with stakeholders. The candidate must be able to effectively convey and respond to questions regarding data privacy law concepts.
Education and Experience Information:
Candidates must possess a Juris Doctor (JD) degree with excellent law school credentials. They should be licensed to practice law in New York or eligible for licensure as a registered in-house counsel. A minimum of 7 years of legal experience at a law firm and/or in-house is required, with preferred experience in biotech/pharmaceutical and/or healthcare sectors. Candidates should have a solid understanding of contracts and related law, particularly those involving data privacy and intellectual property. High business acumen, excellent contract drafting and negotiation skills, exceptional oral and written communication abilities, and strong interpersonal and conflict resolution skills are essential.
Salary Information:
The annual salary range for this position is $202, to $336,, in accordance with . law for positions. Salary ranges for positions based in Japan and/or Canada are shown in accordance with applicable local law and currency.
