Principal Legal Counsel – LATAM Region Lead
Job Responsibilities
The Principal Legal Counsel will play a critical role in the commercial transactions group within the Legal department at the company. The primary responsibilities include:
- Negotiating various agreements with external clients and vendors.
- Providing legal and business counsel to internal clients to address and resolve issues.
- Managing external counsel as necessary.
- Ensuring that all agreements are concluded in accordance with the company’s corporate risk parameters and policies.
- Leading or participating in various departmental and organizational projects as assigned.
- Managing junior attorneys on the Americas Legal team, if needed.
- Supporting the company’s Sales teams in Latin America, the United States, and Canada.
- Contracting with customers across diverse industries such as financial services, healthcare, consumer products, energy and utilities, media, and communications.
- Identifying and managing legal and business risks.
- Maintaining strong working relationships with demanding internal clients.
- Overseeing and closing multiple projects and transactions simultaneously.
- Traveling for business purposes approximately 15-20% of the time.
Education and Experience Information
- A minimum of 15 years of legal work experience after law school graduation.
- Juris Doctor (JD) degree from an accredited law school with strong academic performance.
- Membership in a State Bar.
- Prior experience working and supporting LATAM region clients and customers, particularly in countries like Mexico, Chile, Peru, Colombia, Brazil, Argentina, Costa Rica, and others.
- A blend of relevant law firm and in-house experience; preferably with a focus on transactional intellectual property and information technology, with at least 7 years of prior in-house experience.
- Experience with litigation, including mediation and arbitration, responding to complaints, and drafting settlement agreements.
- Demonstrated experience in drafting and negotiating various types of commercial agreements, including complex master outsourcing services, technology-related agreements, software licensing, reseller and services agreements, sponsorship and marketing agreements, teaming agreements, RFPs and RFIs, settlement agreements, non-disclosure agreements, statements of work, subcontractor agreements, and cloud-hosted services agreements.
- Background in outsourcing, information technology, data privacy, intellectual property, software licensing, export control compliance, SaaS, dispute/conflict resolution, and litigation is preferred.
- Excellent drafting, communication, and interpersonal skills.
- Fluency in Spanish, Portuguese, and English.
- Creative problem-solving skills and the ability to work independently and as part of a team in a fast-paced environment.
