Job Title: Corporate Governance Attorney - Vice President, Assistant General Counsel
Job Responsibilities:
- Provide legal support for the Corporate Governance & Nominating Committee of the Board of Directors, including conducting research and drafting meeting materials and minutes.
- Offer legal assistance on corporate governance matters such as regulatory reporting, industry developments, director recruitment, and succession planning.
- Advise on the Board’s fiduciary duties under Delaware and federal law.
- Provide expert legal advice on Reg. S-K and other disclosure requirements related to the annual proxy statement and shareholder proposals.
- Participate in the SEC no-action process for shareholder proposals, collaborating with outside counsel and internal experts.
- Advise on legal requirements for the Annual Meeting of Shareholders and assist in managing shareholder Q&A.
- Advise on Section 16 matters and 10b5-1 plans, including insider trading policies and regulatory disclosures.
- Draft governance-related 8-Ks and review portions of corporate reports and disclosures.
- Monitor and analyze changes in laws affecting corporate governance, advise on best practices, and oversee compliance with legal obligations.
- Advise on corporate governance implications for M&A transactions and internal legal entity reorganizations.
Education and Experience Information:
- JD or educational equivalent required.
- Active bar admission in at least one state.
- Minimum of 5 years of relevant experience as a practicing attorney in a large law firm or in-house setting, focusing on corporate governance and SEC reporting.
- Experience in supporting or working with boards of directors and senior management.
- Strong experience in advising on SEC and NYSE reporting and disclosure requirements.
- Outstanding verbal and written communication skills.

- Proven ability to work independently and within a team.
- Superior organizational, decision-making, and problem-solving skills.
- Ability to multitask and operate in a fast-paced, changing environment.

Salary Information:
- Base Pay/Salary: $199, to $275, in New York, NY.
Note: All candidates for roles in the Legal department must be licensed to practice law in the country of employment and complete a conflicts of interest clearance review before starting employment.
